Note:

The "LLC filing fee" and the "Articles of Organization fee" are the same. The Articles of Organization, once approved by the Alaska Corporations Section, officially create your Alaska LLC.

Entity Name

Enter the full name of your Alaska LLC, including an appropriate designator (suffix). According to Alaska law (section 10.50.020), your LLC name must end with one of the following:

  1. LLC (most common)
  2. L.L.C.
  3. Ltd. Liability Co.
  4. Ltd. Liability Company
  5. Limited Liability Co.
  6. Limited Liability Company

Comma in LLC name: You may include a comma in your LLC name if you wish, e.g., "Fresh Fish Company, LLC" or "Fresh Fish Company LLC"—both are acceptable.

LLC Purpose

State the purpose of your Alaska LLC in this section.

Don't worry about being overly detailed, as you can change your business purpose later as it evolves.

You can enter a brief description (e.g., "pizza shop", "real estate investing", "landscaping"), or use a more general statement:

Any lawful business for which a limited liability company may be organized under the laws of the State of Alaska

NAICS Code

Enter your business’s purpose and the corresponding NAICS Code.

The NAICS (North American Industry Classification System) Code is used by government agencies to identify your LLC’s business activities.

If you can’t find a specific match, select the industry that best represents your business.

Alaska Registered Agent

A Registered Agent is a person or company designated to receive legal documents on behalf of your Alaska LLC. Your Registered Agent must have a physical address in Alaska.

If the Registered Agent is an individual, they must reside in Alaska.

You have three options for a Registered Agent: yourself, a friend/family member, or a Commercial Registered Agent. We suggest reading the Alaska Registered Agent lesson for more details.

  1. Choose “Individual” from the drop-down menu.
  2. Enter the name and address.
  3. Choose “Entity” from the drop-down menu.
  4. Enter the service’s Entity Number and address.

  6. Alternatively, contact your Registered Agent Service to obtain their Entity Number.

Entity Addresses (Mailing and Physical)

Provide the mailing and physical addresses for your LLC.

These addresses can be the same or different, and they can be located in any state or country.

Management

  • Indicate whether your LLC will be Member-managed or Manager-managed.
  • In a Member-managed LLC, all owners have the authority to run the business.
  • In a Manager-managed LLC, only the designated managers have this authority. Other members take on a passive or investor role.
  • If Member-managed, select “The limited liability company is managed by its members”.
  • If Manager-managed, select “The limited liability company is managed by a manager”.

Tip:

Most Alaska LLCs choose Member-managed.

Organizers

Click "Add" to input the LLC’s Organizer(s). Ensure "Individual" is selected, then enter the Organizer's name and save.

Repeat if you have more Organizers.

An LLC Organizer is the person or entity filing the Articles of Organization. Note: An Organizer is not necessarily a Member (owner) of the LLC.

Optional Provisions (optional)

This section is for adding any additional rules your LLC must follow. This is optional and most filers leave it blank unless advised otherwise.

Name of Person Completing the Online Application

Agree to the terms, enter your name and phone number, then click "Proceed".

Review and Submit

Review your information by clicking the "Review Filing" PDF link. Save or print a copy for your records.

  • If corrections are needed, click "Return to Filing".
  • To submit, click "Proceed to Payment".

Print the form, fill it out by hand (using a black pen), and sign it. Alternatively, type directly into the form, then print and sign.

Use standard white paper (8.5″ x 11″) for printing.

$250 Filing Fee

Check the box at the top to agree to the $250 filing fee.

Article 1: Name

Enter the full name of your LLC, including an appropriate designator (LLC, L.L.C., etc.). The comma in the LLC name is optional.

Article 2: Purpose & NAICS Code

Enter the purpose of your business and the relevant NAICS Code. Refer to the Alaska NAICS Codes for the correct code.

Article 3: Registered Agent

Enter the name, physical address, and mailing address of your Alaska Registered Agent. Both addresses are required, even if they are the same.

Article 4: Management

Select either Member-managed or Manager-managed, depending on your LLC’s structure. Member-managed means all members run the business; Manager-managed means only designated managers do.

Article 5: Optional Provisions

This section is optional. Only include additional provisions if instructed by an attorney or advisor.

LLC Organizers

Enter the name and address of each Organizer. After printing, ensure all Organizers sign the form.

If your LLC has four or more Members and you want them all listed, include an Additional Organizers Attachment with your filing.

Note:

The Organizer is not automatically an LLC Member; membership is determined by signing the Operating Agreement.

Provide the contact information for the person who should be contacted with questions and where approval documents should be sent.

Enter the LLC name, your name, email, phone number, and mailing address.

Alaska LLC Approval Time (Mail Filing)

Mail filings are typically processed and approved within 10-15 business days, not including the time it takes for your documents to reach the Alaska Division of Corporations by mail.

After Your Alaska LLC is Approved

Once your Articles of Organization are approved, your Alaska LLC is officially formed, and you will receive two important documents:

  1. Certificate of Organization: This document confirms that your LLC is officially recognized by the state and includes the date of formation.
  2. Stamped and Approved Articles of Organization: This is a copy of the original Articles of Organization that you submitted, stamped with the state’s approval.

Both documents are essential for your records and may be required when opening a business bank account, applying for business licenses, or entering into contracts on behalf of your LLC.
