Every year, all LLCs operating in Colorado are required to file an LLC Colorado Secretary of State with the Colorado Secretary of State.

What is the Colorado LLC Periodic Report?

The Colorado Periodic Report is an annual filing that ensures your LLC remains in good standing with the Colorado Secretary of State.

As with most states, Colorado mandates that LLCs remain in Good Standing to conduct business legally. To achieve this, LLCs must keep their fundamental information accurate and current in state records.

This information is updated annually by submitting your LLC Periodic Report to the Colorado Secretary of State.

Filing the Periodic Report each year costs $10, beginning the year after you establish a Colorado LLC.

Note:

While most states refer to this filing as the LLC Annual Report, Colorado uses the term "Periodic Report." Both terms essentially mean the same thing, and we may use them interchangeably.

What is the purpose of the Periodic Report in Colorado?

The Periodic Report filing ensures that the Colorado Secretary of State is informed of any updates to your LLC's basic information, such as changes to your Registered Agent's contact details.

Are Periodic Reports Required in Colorado?

Yes, every LLC formed in Colorado must file the Colorado Periodic Report and pay the $10 filing fee annually.

Additionally, foreign LLCs registered to operate in Colorado are also required to file the Colorado Periodic Report.

In Colorado, Periodic Reports are mandatory every year for the duration of your LLC's existence, regardless of business income or activity. This means you must file the Periodic Report even if your Colorado LLC earned $0 or was inactive.

When is the Colorado Periodic Report due?

Each Colorado Periodic Report due date falls within a 5-month window determined by the LLC's Effective Date.

Note:

The LLC Effective Date is when your LLC officially came into existence. It's similar to your LLC’s Anniversary Date and may also be referred to as the Formation Date.

The Colorado Secretary of State permits reports to be filed online up to 2 months before and 2 months after the LLC's Anniversary Month.

This means you have a 5-month window each year to file your Annual Report online and have it counted as on-time.

A Colorado Periodic Report is considered on time if it is filed within a 5-month window:

  • During your LLC’s Anniversary Month
  • Up to 2 months before the Anniversary Month
  • Or up to 2 months after the Anniversary Month.

Once you know your Effective Date, you can determine your LLC's 5-month filing window.

How to count the Colorado Periodic Report 5-month filing window

With your LLC’s Anniversary Month in hand, you can now establish the 5-month filing window for your Colorado Periodic Report.

Here are a few examples of how to determine your Colorado Periodic Report filing window:

Example 1: If your LLC Formation Date is May 10, 2024, then May is your LLC’s Anniversary Month.

For your first Periodic Report, the 5-month filing window would be from March to July 2025:

  • March 2025 (Month 1)
  • April 2025 (Month 2)
  • May 2025 (Month 3, or Anniversary Month)
  • June 2025 (Month 4)
  • July 2025 (Month 5)

In other words, a Colorado LLC with a Formation Date of May 10 can file on time:

  • As early as March 1 (Month 1),
  • Anytime during May (Month 3), and
  • As late as July 31 (Month 5).

Example 2: If January is your LLC's Anniversary Month, the 5-month filing window for your first Periodic Report would be from November 2025 to July 2026:

  • November 2025 (Month 1)
  • December 2025 (Month 2)
  • January 2026 (Month 3, or Anniversary Month)
  • February 2026 (Month 4)
  • March 2026 (Month 5)

In another way, a Colorado LLC with a Formation Date of January 30th, 2024 can be filed on time:

  • as early as November 1, 2024 (Month 1),
  • during January 2025 (Month 3), and
  • as late as March 2025 (Month 5).

How Soon Can You File the Colorado Periodic Report?

Regardless of your LLC's Anniversary Month, you can submit the report as early as the 1st day of Month 1. The latest you can file to be considered on time is the last day of Month 5.

When is my first Periodic Report due?

Your LLC's first Annual Report is due 1 year after your LLC is formed.

After that, your LLC Periodic Report will be due annually within the same 5-month window.

  2. Enter your LLC's name (omit "LLC").
  3. Click on your LLC's name.
