Delaware LLC Annual Franchise Tax Report
After forming a Delaware LLC, you will need to manage annual obligations.
Delaware LLCs are not required to file an Annual Report as Corporations do. However, they must pay a flat-rate Annual Franchise Tax of $300 each year.
Every LLC formed in Delaware must pay this $300 tax, regardless of income or business activity. This payment is required to keep your LLC in compliance with state regulations.
Method of Filing (online only)
You must pay the Annual Franchise Tax online mail submissions are not accepted. Payments can be made using a credit card or a checking account.
Fee
The Annual Franchise Tax for Delaware LLCs is $300 per year.
Due Date
The Annual Franchise Tax must be paid by June 1 each year.
Your first payment is due in the calendar year following your LLC's approval.
For instance, if your LLC was approved on March 12, 2024, your initial Annual Franchise Tax will be due by June 1, 2025.
Penalty
If you do not pay your Annual Franchise Tax by June 1, a late fee of $200 will be imposed. Additionally, your account will incur a penalty of 1.5% interest per month for each month it remains unpaid.
Reminders
The state will mail reminder notifications to your LLC's Registered Agent each February.
We also suggest setting a recurring reminder on your calendar. Even if you don’t receive a reminder notice, you are still responsible for paying the tax annually.

Recommendation
We advise paying your Franchise Tax early (beginning in February) to avoid late fees. Many people choose to pay it in April when they are handling other taxes as well.

Visit the state online portal
Visit the state's online filing system:
Delaware Corporations Information System
Enter your LLC's File Number
After entering the file number of your LLC, select "Continue."
Business Entity File Number: To complete the online payment, you must enter your Business Entity File Number, sometimes referred to as your "File Number." This number can be located by using the database search found here.
Review fees/taxes due
Review the tax amount due (including any applicable late fees) and then click the "Pay Taxes" button.
Enter your payment information
At the top, choose "Pay Full Amount."
After selecting your preferred payment option such as credit card or ACH enter your billing address, contact details, and payment information.
Select "Submit" from the menu.
The annual franchise tax for Delaware LLC has been successfully paid!
Email confirmation
You will receive an email confirmation from the state confirming your payment.
It is advised that you print this email and file it with your business documents.
After the payment is made, no further actions are required. Just keep in mind that starting now, you must pay your annual franchise tax.
