Filing a Florida LLC Annual Report
After forming an LLC in Florida, you must file an Annual Report and pay $138.75 annually.
To avoid penalties and maintain compliance with the Florida Division of Corporations (also known as "Sunbiz"), ensure you file your Florida LLC Annual Report each year.

$138.75 per year, payable annually for the duration of your LLC's existence.
Florida LLC Annual Report due date
Annual Reports are due between January 1 and May 1 each year. The deadline to file, without incurring late fees, is May 1 at 11:59 pm.
Your first Florida LLC Annual Report is due in the year following your LLC's formation.
For example, your first Annual Report is due between January 1 and May 1, 2025, assuming your LLC is approved on April 10, 2024.
Your second Annual Report is due on or before May 1, 2026, the next year, and so on.

How early can I file my Florida LLC Annual Report?
You can file the Florida LLC Annual Report starting January 1.
$400 penalty for late Annual Reports
If you file your LLC Annual Report after May 1, a non-negotiable $400 penalty will automatically be added to your total at checkout.
This means that if you submit a late Annual Report, the total amount due will be $538.75.
However, there is a potential saving:
If you are late and wait for dissolution (approximately 4 months after the deadline), you could save $300.
Cost-Saving Tip: Administrative Dissolution for Late Filings after September
If you do not file your LLC Annual Report by the fourth Friday in September, the Florida Division of Corporations will administratively dissolve (shut down) your Florida LLC.
Although this may seem severe, it can be less costly than the $400 penalty. If your LLC is administratively dissolved, you can reinstate it by filing for Reinstatement. This process costs $100 plus the Annual Report fee of $138.75, but you won’t have to pay the $400 penalty.
If you miss the May 1 deadline for filing your LLC Annual Report, it may be more cost-effective to wait until the end of September for your LLC to be dissolved and then reinstate it. By doing so, you'll pay $238.75 ($100 Reinstatement fee plus $138.75 Annual Report fee), saving $300 compared to the $538.75 total if you pay the penalty.

You can only file your Florida LLC Annual Report online. This is the sole method available.
The Florida Division of Corporations does not accept Annual Reports by mail, fax, or in person.

Will I receive LLC Annual Report reminders?
Yes, the Florida Division of Corporations (also known as Sunbiz) will send you four separate courtesy reminders.
The first Annual Report reminder is typically sent around mid-January, with additional reminders sent every 4-5 weeks thereafter.
Where are the reminder notices sent?
If you submitted your Florida Articles of Organization by mail, the state will send reminder notices to the address listed on your Cover Letter.
If you filed your Articles of Organization by mail without including a Cover Letter, the state will send the reminder notices to your Florida Registered Agent's address.
If you filed your Articles of Organization online, the state will email you the reminder notices. They may also send reminder notices to your Florida Registered Agent.
Unsure if the correct email address is on file?
Don’t worry. During the Annual Report filing process, you can update your email address to receive Florida LLC Annual Report reminders.
Set your reminder, too
Remember, the notices from the state are mere "courtesy" reminders.
The state is not legally obligated to send them. Even if you don't receive a reminder, it remains your responsibility to ensure you file and pay your LLC Annual Report each year.

Document Number
Enter your Florida LLC's 12-digit Document Number and click "Submit."
You can locate your LLC's Document Number by:
- Checking your stamped and approved Articles of Organization
- Searching your LLC name here: Florida Division of Corporations: Search Records by Name
Total charges
In the upper right, you will see the total amount due.
If you are filing your LLC Annual Report on time, the total will be $138.75.
If you are filing late, the total amount will be $538.75.
Review your information
The Florida LLC Annual Report process is quite simple.
The state will populate the form with your LLC's existing information for you to review. If there are any changes, click the "Edit" buttons to update the information as needed.
FEI/EIN Number
Your LLC EIN Number (also known as the Federal Tax ID Number) may already be filled in or left blank.
While the state requests that you provide your LLC's EIN Number, you can choose to keep it private. Simply click "Edit" and select "Not Applicable" if you prefer not to disclose the number publicly.
Principal Address
This is your LLC's main address, where business operations take place or where business documents and records are stored. It can be a physical office, but it doesn't have to be.
The Principal Address can be:
- A physical office location
- A home address
- A virtual office address
- A mailbox rental address
- The address of your Florida Registered Agent (if permitted by the Registered Agent)
The Principal Address cannot be:
- A PO Box address from the United States Postal Service
The Principal Address can be located at:
- In Florida
- In any other state
- In any other country
Mailing Address
A Mailing Address is the preferred address for receiving mail for your LLC. The Florida Division of Corporations uses this address to send notices and other correspondence related to your LLC.
This address can be the same as your Principal Address, but it doesn’t have to be.
For example, large companies might have their Principal Address at one location but choose a different Mailing Address for receiving their mail.
However, most people use the same address for both the Principal Address and the Mailing Address.
The Mailing Address can be:
- A physical office address
- A home address
- A virtual office address
- A mailbox rental address
- A PO Box address
- The address of your Florida Registered Agent (if permitted by the Registered Agent)
The Mailing Address can be located at:
- In Florida
- In any other state
- In any other country
Registered Agent Name / Signature
A Florida Registered Agent is an individual or company designated to receive legal mail on behalf of your LLC.
You can serve as your LLC's Registered Agent if you are a Florida resident, have a street address in Florida, and are at least 18 years old.
A friend or family member can serve as your LLC's Registered Agent if they are a Florida resident, have a street address in Florida, and are at least 18 years old.
Alternatively, you can hire a Registered Agent company, known as a Commercial Registered Agent, if you prefer not to act as your Registered Agent or if you wish to keep your address off public records.
If you're hiring a Commercial Registered Agent or switching to a new one, be sure to finalize the arrangement with them before listing their details in your LLC's Annual Report.
Registered Agent Information
This section displays the physical address of your LLC's Registered Agent.
Name And Address of Person(s) Authorized to Manage Limited Liability Company
If your Florida LLC is Member-managed:
- The LLC Member will be listed here.
- Use the title "AMBR," which stands for Authorized Member.
If your Florida LLC is Manager-managed:
- The LLC Manager will be listed here.
- Use the title "MGR," which stands for Manager.
Your LLC should use the appropriate title abbreviations (AMBR for Authorized Member or MGR for Manager). Titles meant for Corporations, such as Chairman, CEO, President, Vice President, Secretary, etc., should not be used. An LLC should exclusively use AMBR or MGR.
Do you want an LLC Certificate of Status?
A Certificate of Status, also known as a Certificate of Good Standing, is an official document provided by the Florida Division of Corporations. It verifies that your LLC is current with its Annual Report filings and is in good standing with the state.
This document isn't mandatory, and most LLCs don’t require it.
But if you want an official letter for your records, you can request a Certificate of Status for $5.

Move to Final Review
If everything appears correct, click "Proceed to Final Review" at the bottom.
Final Review
Double-check all your information for any errors or typos.
If you spot anything that needs correcting, click the red "NO! Continue Editing" button.
If everything is accurate, proceed to step 5, where you'll enter your email address.
Email and Signature
Enter your email address twice.
The Florida Division of Corporations will use this email to send reminders for your LLC Annual Report next year.
If you ordered a Certificate of Status (optional), it will be sent to this email address.
Privacy: Your email address will remain confidential and won’t be included in public records.
Signature
If you are the LLC Member (owner):
Enter your first and last name along with your title. For most owners of a Member-managed LLC, the title will be Authorized Member.
If you are an LLC Manager:
Enter your first and last name and your title. If you are the Manager of a Manager-managed LLC, then your title will be Manager.
If your Florida LLC is owned by another company:
Enter your first and last name. In the title field, include your position at the parent company and the name of the parent company.
✎ Note:
If Mark Smith, a Manager at ABCD LLC, is filing the Annual Report on behalf of ABCD LLC's subsidiary, the signature block will only show: Mark Smith Manager, ABCD LLC The subsidiary company's name will not appear in the signature block.
Click "Move on to Payment Section" to proceed.
Choose Your Payment Option: Credit or debit card
Paying with a debit or credit card will result in immediate processing of your LLC Annual Report, and you'll be able to download it right away.
We suggest using a credit or debit card for your payment.
Select "Credit / Debit Card," then click "Continue." Enter your billing information and proceed by clicking "Continue" again. Review the details and finalize by clicking "Process Payment."
On the following page, you have the option to save your receipt. You can click "Print" to print it or "View as PDF" to download it to your computer.
Once you've saved a copy of your receipt, click "Finish." On the next page, you'll see a Final Confirmation message. After you see this message, you can close the browser tab. Your Florida LLC Annual Report has been successfully filed.
How to download a copy of your filed Annual Report
If you paid with a credit or debit card, you can download your filed Annual Report immediately.
If you paid by check or money order, please allow approximately 3-5 weeks before your filed Annual Report becomes available for download.
Download your LLC Annual Report for your records
You can preserve a copy of your LLC's Annual Report by doing the following:
- Go to Records by Name at the Florida Division of Corporations.
- After typing the name of your LLC, select "Search."
- Find your LLC by searching for it, then click on its name.
- Navigate to the "Document Images" section at the bottom of the page.
- To view the Annual Report, click on the document.
- Download or print the filed Annual Report for your records.
