Filing an Annual Report for Your Idaho LLC

All LLCs in Idaho must file an Annual Report each year. Although there is no fee, submitting this report is necessary to maintain your LLC's good standing with the Idaho Secretary of State.

In late 2018, the Idaho Secretary of State updated the LLC Annual Report filing process, introducing a completely revamped online system.

The Idaho Secretary of State prefers online filings for your LLC Annual Report through SOSBiz, which is also the easiest and most convenient method.

What is the purpose of the Annual Report?

The Idaho Annual Report is used to ensure your LLC's contact information remains current with the Secretary of State.

When is my Idaho LLC Annual Report due?

Your LLC's Annual Report is due annually by the end of the month in which your LLC was originally approved.

The first Annual Report is due the year following your LLC's formation.

Your LLC's anniversary month is the month it was approved by the state (your "filing date"). You can find this date by:

  • Checking your approved Certificate of Organization, or
  • Performing a business search and locating your "Filing Date"

For example, if your LLC was approved on March 20, 2024:

  • March is your anniversary month.
  • Your Annual Report is due by March 31 each year.
  • Your first Annual Report is due by March 31, 2025.
  • Subsequent Annual Reports are due by March 31 each year thereafter.

Is there a penalty if I don’t file an LLC Annual Report?

Yes, failing to file your Idaho LLC Annual Report can lead to the state administratively dissolving (shutting down) your LLC. If this occurs, you'll need to apply for Reinstatement and pay the associated fee.

Annual Report reminders

If you set up your Idaho LLC through SOSBiz, the Secretary of State will email you a reminder about 1-2 months before your Annual Report is due.

Note that reminder postcards are no longer mailed.

Even if you don’t get a reminder from the Secretary of State, it’s your responsibility to file your LLC’s Annual Report on time each year. To ensure you don’t miss the deadline, it’s a good idea to set up a calendar reminder on your phone or computer.

Note:

If you created your LLC through SOSBiz, simply log in to your account. Your LLC will already be linked to it.

If you initially filed your LLC by mail and are using SOSBiz for the first time, you'll need to create an account and link it to your LLC:

  1. Visit the Idaho SOSBiz Login page and select "Create An Account."
  2. Enter your name, and email, and create a password.
  3. Log in to your new account.
  4. Go to the business search page, locate your LLC, and click on its name.
  5. Click "Request Access" to receive a PIN via email.
  6. Click "Input PIN Now" and enter the PIN from your email.
  7. Your LLC is now connected to your SOSBiz account.

How to file your Idaho LLC Annual Report in SOSBiz

Get started:

  • Sign in to the Idaho SOSBiz Login page.
  • Select "My Records."
  • Click on your LLC name.
  • Choose "File Annual Report" to begin.

Note:

If you click "File Annual Report" multiple times without any response, you might not be able to file your LLC's Annual Report online. This could be due to a need for Reinstatement or another issue. Contact the Idaho Secretary of State at 208-334-2301 (Monday through Friday, 8 am – 5 pm Mountain Time) to check the status of your LLC.

Overview:

  • You'll go through approximately 7 pages of information.
  • You'll either confirm that everything is correct or update it if there have been any changes.

Entity Name and Address

Check your LLC's address.

If you need to update it, make the changes here. If the address is correct, proceed to the Next Step.

Entity Details

Since you can't make changes here, just move on to the next step.

Registered Agent Information

You can either:

  • Appoint a new Registered Agent
  • Update the address of your current Registered Agent
  • Make no changes and proceed to the next step

Governors

According to section 30-25-201 of the Idaho Business Organizations Code, your LLC must have at least one Governor on record.

  • In a Member-managed LLC, a Governor is an LLC Member.
  • In a Manager-managed LLC, a Governor is an LLC Manager.

Review the information for your LLC Members or Managers and make any necessary updates, or proceed to the next step.

Confirm

Review your Idaho LLC's information to ensure it's accurate and free of typos.

If you need to make corrections, go back to the previous steps. Otherwise, proceed to the next step.

Declare and Sign

After reading the terms, check the boxes indicating that you agree with them.

To electronically sign the Annual Report, provide your complete name and the current date.

Signer's role:
Indicate the title you hold: Authorized Person, Manager, or Member.

File Document

Note:

Most filers opt to submit their LLC Annual Report online.

If filing by mail: Send your signed and completed Annual Report to the Secretary of State, 450 N 4th Street, PO Box 83720, Boise, ID 83720-0080.

If filing online: Click "File Online" and follow the instructions for online submission.

Congratulations! Your Idaho LLC Annual Report has been successfully submitted to the Secretary of State.

You're done! Just be sure to file your Annual Report again next year.
