Filing an Illinois LLC Annual Report

After establishing an LLC in Illinois, you must file an Annual Report and pay a $75 fee annually.

You must file your Annual Report to ensure your Illinois LLC remains compliant and in good standing with the Illinois Secretary of State.

Your Illinois LLC Annual Report must be filed before the first day of your LLC's anniversary month, which is the month your LLC was officially approved by the Illinois Secretary of State

For example, if your LLC was set up on June 15, 2024, your anniversary month will be June. So, for 2025, you’ll need to submit your LLC's Annual Report before June 1. This same deadline will apply each year going forward, requiring submission before June 1 annually.

Where can I find my Illinois LLC’s anniversary date?

You can determine your Illinois LLC's anniversary date in two ways:

  1. Check the date listed on your approved Articles of Organization.
  2. Search for your LLC name on the Illinois Corporation & LLC Search page and find the "Organization/Admission Date."

How early can I file my Annual Report?

The LLC Annual Report must be submitted no later than 45 days before the start of your anniversary month.

You can begin filing your Annual Report as early as mid-April, for example, if your LLC's anniversary falls in June.

Methods of filing

You can submit your LLC's Annual Report either by mail or online.

The fee for filing the Illinois LLC Annual Report is $75, regardless of the filing method you select.

If you file your Annual Report by mail, the Illinois Secretary of State typically processes it within 10 to 15 business days.

If you file your Annual Report online, it will be processed immediately.

What will I get back from the state?

When you file your Annual Report by mail, the Illinois Secretary of State typically does not send any proof or confirmation of receipt. However, if you include two copies of your Annual Report and a self-addressed stamped envelope, the state will send you a confirmation by mail.

If you file your Annual Report online, you can save and print a confirmation page. You will also receive a confirmation email from the Illinois Secretary of State.

Penalty for late Illinois LLC Annual Report

If your Annual Report is 60 days late:

The state imposes a $100 penalty in addition to the base fee. This means you will pay a total of $175: $75 for the Annual Report plus a $100 penalty.

✏️ Important:

The penalty was previously $300, but House Bill 4578 (Section 50-15) amended the Illinois LLC Act, reducing the late fee for the LLC Annual Report to $100.

If your Annual Report is 180 days late:

The Secretary of State will administratively dissolve your LLC.

Annual Report Reminders

Annual Report forms and reminders will be sent to your Registered Agent 45 days before they are due.

If you intend to file your Annual Report online, you can disregard the forms and reminders mailed by the state.

✏️ Important:

Even if you don’t receive a reminder, you must still file your LLC Annual Report on time each year. To help you stay on track, it’s a good idea to set up a recurring reminder on your phone or calendar.

How to file an Illinois LLC Annual Report online

  1. Begin at: LLC Annual Report Filings.
  2. Enter your LLC's File Number and click "Continue." You can find your LLC's File Number on the Welcome Letter from the state or by searching your LLC name here and checking the "File Number" at the top.
  3. Verify that the listed LLC is correct, then click "Continue."
  4. Check that your Registered Agent information is accurate, then click "Continue."

Note:

You cannot change your Registered Agent during this online filing. If you need to update your Registered Agent, you must use a different form (Change of Registered Agent) and submit it by mail.

  1. Check your Principal Place of Business address. If it's correct, select "Yes" and click "Continue." If updates are needed, select "No," make the necessary changes, and then click "Continue."
  2. Review the names and addresses of the LLC's Members or Managers.

Verify that the information is accurate and decide if you need to add any additional Members or Managers. Then click "Continue."

  1. Choose which Member or Manager is submitting the LLC’s Annual Report.

If the report is being filed by an individual, select "No" at the bottom.

If a company is filing the report, select "Yes" at the bottom, then provide the name and title of the person signing on behalf of the company.

Click "Continue" to proceed.

  1. Enter the name of the person making the payment (which must match the credit card information). Then provide their phone number and email address, and click "Continue."
  2. Review your information and click "Proceed to Payment." Enter your credit card details and phone number, then click "Next" to complete your payment and submit your Annual Report to the Secretary of State.

Processing Time and Verification (online filing)

When you file online, your Annual Report is processed immediately after payment. Shortly afterward, you will receive an email from the state containing a receipt and a copy of your filed Annual Report.

How to Complete the Annual Report Form

  1. Enter your LLC's name, along with the name and address of your Illinois Registered Agent. The Registered Agent’s address must be a street address located in Illinois.
  2. On the first line, enter "Illinois," followed by the date your LLC was formed. You can find this date on your stamped and approved Articles of Organization or by searching your LLC name here and checking the "File Date."
  3. Enter your LLC's Principal Place of Business address (PO boxes are not permitted). This address can be in Illinois or any other state.
  4. Provide the name and address of your LLC's Managers or Members.
  5. No information is required in this section.
  6. No information is needed here either. This section informs you that you cannot change your Registered Agent using the Annual Report form. To update your Registered Agent, you must use a separate form (Change of Registered Agent).
  7. Enter today's date. Sign your name above "Signature" and write your name and title above "Name and Title" (e.g., John Doe, Member or John Doe, Manager).

For the section "If the applicant is a company or other entity…"—you can leave this blank, as it doesn't apply to most filers.

Prepare a check (personal checks are acceptable) or money order for $75, made payable to the "Secretary of State."
