Kansas LLC Annual Report Guide
Starting in 2024, all Kansas LLCs must file a Biennial Report every two years instead of the previous Annual Report required each year.
We’ll explain what this shift from an Annual Report to a Biennial Report means for your LLC and provide instructions on how to file your report below.
What is the Kansas LLC Annual Report?
Annual reports collect important details about your LLC and are also known as information reports.
Submitting these reports to the Kansas Secretary of State helps keep your LLC in legal compliance and ensures it stays in good standing with the state.
Prior to 2024, Kansas required all LLCs operating in the state to file an annual report.
Through January 2024, all LLCs doing business in Kansas must now file a biennial report instead.
What is a Kansas LLC Biennial Report?
The Kansas LLC Biennial Report is an Information Report that LLCs must file every two years with the Kansas Secretary of State's office.
This report collects important business information about your LLC and helps make sure it stays in legal compliance and good standing with the Kansas Secretary of State.
What is the difference between a Kansas Annual Report and a Kansas Biennial Report for LLCs?
The key difference between an Annual Report and a Biennial Report is how often you need to submit them.
Annual Reports are filed every year, while Biennial Reports are filed every two years.
According to the Kansas Secretary of State office, the new Biennial Report asks for the same information as the old Annual Report.
The transition from an Annual Report to the New Kansas Biennial Report is intended to make it easier for business owners by reducing the frequency of required Information Report filings.

Yes, every LLC in Kansas needs to file a Biennial Report every two years.
What does the new Kansas LLC Biennial Report mean for my LLC?
The new Kansas LLC Biennial Report means that the filing deadline for your LLC's Information Report will change slightly.
When your LLC's Biennial Report is due depends on whether your LLC was created in an even or odd year.
- If your LLC was formed in an even-numbered year, you'll file your Kansas Biennial Report every even-numbered year.
- If your LLC was formed in an odd-numbered year, you'll file your Kansas Biennial Report every odd-numbered year.
When is the Kansas LLC Biennial Report deadline?
You are required to file your Kansas LLC biennial report every two years on April 15, which falls four months after the conclusion of your tax year.
If your tax year ends in December, your biennial report is due by April 15 of the following year.
When is my first Kansas Biennial Report due?
If you establish your LLC in 2024, your first Kansas Biennial Report will be due in 2026. After that, you'll need to file subsequent reports every two years, such as in 2028, 2030, and so on.
If you file your LLC in 2025, your first Kansas Biennial Report will be due in 2027. Following that, your reports will be due every two years (2029, 2031, etc.).
How early can you file the Kansas Biennial Report?
You can file your LLC's Kansas Biennial Report starting from the first day of your LLC's first fiscal month.
For example, if your LLC's tax closing month is December 2023 and your Biennial Report is due by April 15, 2024, you can file as early as January 1, 2024.7
Can I file a Kansas Annual Report (now Biennial Report) online?
Yes, you can file your LLC's Biennial Report online, just as you could with the Annual Report. Alternatively, you can file by mail.
However, we recommend filing online because it is more cost-effective and has a faster approval time.
What happens if I don’t file a Kansas Biennial Report?
If you fail to submit your LLC's Biennial Report within 90 days of the due date, the Kansas Secretary of State may administratively dissolve your LLC.
