How to File Your Louisiana LLC Annual Report

Each year, every Louisiana LLC must submit an Annual Report to remain in compliance and maintain good standing with the state of Louisiana.

Method of Filing

You can submit your Louisiana LLC's Annual Report either by mail or online.

For mail submissions, print out the report, make any necessary changes by hand, and send it to the state along with a check or money order.

If you choose to file online, you'll need a geauxBIZ account (pronounced "go Biz"). You'll complete the report online and pay with a credit card. If you don't have a geauxBIZ account yet, you can find registration instructions below.

Annual Report Filing Fee

The annual filing fee is $30 if you file by mail and $35 if you file online.

Method of Payment

For mail filings, make your payment with a check or money order. For online filings, use a credit card.

Due Date

Your Louisiana LLC’s Annual Report is due each year before your anniversary date, which is the date your LLC was officially approved by the state.

For instance, if your LLC was approved on October 10, 2024, your first Annual Report must be filed before October 10, 2025. Subsequent reports will also need to be filed before October 10 each year.

You can find your LLC's approval date on your Certificate of Organization. Alternatively, you can search for your LLC here, click "Details" next to your LLC, and check the "Registration Date" near the top.

How early can it be filed?

You can file your LLC’s Annual Report up to 30 days before the due date.

For example, if your LLC was approved on October 10, 2024, you may submit your Annual Report as early as September 10, 2025.

Penalty

If you fail to file your Annual Report by your anniversary date, the state will classify your LLC as "not in good standing." If the report remains unfiled for 3 years, the state will revoke (dissolve) your LLC.

Reminders

The Louisiana Secretary of State previously sent postcard reminders by mail but stopped doing so in 2016 as part of a shift towards digital notifications through geauxBIZ.

The state will send email and/or text message reminders about 30 days before your Annual Report is due.

We also suggest setting a recurring reminder on your calendar. Even if you don't receive a notification from the state, it's still your responsibility to file your Annual Report on time each year.

Sign up for email and text message reminders

Search for your LLC name here, click on "Details," and then select the small "Subscribe to Electronic Notification" button at the top. Enter your email address and phone number (optional), and then click "Submit."

How to File Your Louisiana LLC Annual Report by Mail

Get Started:

  1. Search for your LLC name here.
  2. Click the "Details" button next to your LLC name.
  3. Then, click the small "Print Annual Report for Filing" button at the top.
  4. A new tab or window will open with your pre-filled Annual Report form. Print this form.

Make Changes to Addresses:

If you need to update your Mailing Address or Registered Office Address, cross out the old information and write in the new addresses.

Change of Registered Agent:

If you are changing your Registered Agent, cross out the old information and provide the details for your new Registered Agent.

✏️ Important:

If you are changing your Registered Agent, the new Registered Agent must sign the Annual Report form, and you will also need to have the form notarized.

If there are no changes to the Registered Agent section, you can leave it as-is. The existing Registered Agent does not need to sign, and the form does not need to be notarized.

Update Members/Managers

If you need to add or remove any LLC members or managers, cross out the old names and addresses and add the new ones.

Signature, Title, and Contact Information

After printing your Annual Report form, sign your name at the bottom.

For the Title, enter "Member" or "manager."

Next, provide your phone number, today's date, mailing address, and email address.

Prepare Payment:

Prepare a check or money order for $30, made payable to "Secretary of State."

Mail Annual Report to State:

Mail your completed and signed Annual Report, along with your $30 filing fee, to:

How to File Your Louisiana LLC Annual Report Online

Note:

If you already have a geauxBIZ account, you can skip the following two sections.

Register for geauxBIZ

Tip:

Although geauxBIZ is compatible with all web browsers, the state recommends using Google Chrome for the best experience.

  1. Go to geauxBIZ and click the yellow "Sign In or Create Account" button.
  2. On the right side, click the "Create an Account" button.
  3. Enter your email address twice, and your password twice. Complete the reCaptcha security code, check the "Terms and Conditions" box, and click the "Create Account" button.
  4. Enter your address (home, office, or mailing) and phone number, then click the "Create Account" button at the bottom.
  5. On the next page, you'll see the following message:

Your account has been created successfully! A confirmation email has been sent to the email address you provided. Please follow the instructions in this email to complete your registration.

  1. Check your inbox for an email from the state with the subject line "Welcome to Louisiana Secretary of State / geauxBiz" and click the verification link inside.
  2. You will be taken to a success page that says "Your email has been verified!" Click the "Sign In Page" button to continue.
  3. On the Login page, enter your email and password (select "Remember Me" for easier access in the future), then click the "Sign In" button.

Create your geauxBIZ Profile

  1. From the Account Type drop-down menu, select “Individual.”
  2. Enter your last name and then your first name.
  3. Check the Disclaimer box to agree to the terms, and click the "Save geauxBIZ Profile" button at the bottom.
  4. You’ll see a green "record successfully added" message at the top. Please wait 10-15 seconds for the page to reload before clicking anything.
  5. You are now in your geauxBIZ Dashboard.

File Your Annual Report Online

Important:

If you filed your Articles of Organization online, you can proceed with the “Get Started” section below, and you can ignore this message.

If you filed your Articles of Organization by mail, you’ll need to associate your LLC with your geauxBIZ account first. Log in to geauxBIZ, click the "My Businesses" tab, then select "Add Existing Business." Enter your LLC name and click "Search." Select your LLC from the list on the left, then click the "Associate Business" button at the bottom. You’ll be redirected back to your dashboard, and your LLC will appear in the "My Businesses" tab.

Get Started:

  1. Go to geauxBIZ.
  2. Click the "Sign in or Create Account" button.
  3. Log in to your geauxBIZ account.
  4. Click the "My Businesses" tab.
  5. Select your LLC name or click the eyeball icon to view it.
  6. Click the "File Annual Report" button at the top.

Review:

On this page, review the instructions at the top, confirm that you have selected the correct LLC, and then click the "Next" button to proceed.

Review Addresses:

Check your office address and mailing address, and update them if necessary.

The address listed at the top is your LLC's "office address," which can be a home address, office address, or your Registered Agent's address. Note that it cannot be a PO Box and must be located within Louisiana.

Your mailing address can be the same as your office address unless you prefer to receive mail at a different location.

If there are any changes to the addresses, update them accordingly. If not, leave them as they are.

Click the "Next" button at the bottom to continue.

Agent Name:

Review the information for your current Registered Agent. Update any details if necessary, or leave them as they are.

✏️ Important:

If you removed your old Registered Agent and added a new one, a popup message will appear:

" To process your order, an email will be sent to your designated registered agent, who must complete the electronic agent acceptance process within 7 days. If your registered agent fails to complete this process or declines the assignment within this timeframe, you will need to re-file the application."

If your Registered Agent is someone other than yourself, inform them to monitor their email for the state's verification request. They have 7 days to click the acceptance/verification link.

To continue, click the "Close" button.

Members/Managers:

Add or remove members or managers from your LLC by clicking the "Delete" button to remove or the "Add Additional" button to add new ones.

Signature and Title

After adding all your members or managers, enter your full name in the "Electronic Signature" box at the bottom and specify your title as "Member," "Manager," or "Agent."

Click the "Next" button to continue.

Review Your Annual Report:

Review your information carefully and check for any typos. If you need to make changes, click the "Edit" buttons. If everything is correct, click the "Next" button to continue.

Secure Business Filings PIN (SBF):

The SBF is designed to prevent corporate identity theft and fraud. If you have an SBF PIN, enter it here. If you don't have an SBF PIN, you can leave this field blank and click "Next" at the bottom.

Note:

You may choose to register for an SBF PIN for added security, but it is not required.

Submit Payment

Choose your card type, enter your billing information, and click "Checkout & File" to submit your Annual Report online.

LLC Annual Report Verification/Approval

If you filed by mail, your Annual Report will be processed within 1-2 business days. The state does not send confirmation by mail, but you can log in to your geauxBiz account (if you have one) to download a copy of your filed Annual Report. If you don't have a geauxBIZ account, wait a few days, then search for your LLC here, click on "Details," and check under "Amendments on File" at the bottom to find your Annual Report.

If you filed online, your Annual Report will be processed in 15 minutes or less. You'll receive an email confirmation once your report has been filed. Afterward, log in to your geauxBiz account, click the "My Businesses" tab, and download and save a copy of your filed Annual Report.

If your Annual Report filing is rejected, the state will notify you by email. Your credit card will not be charged (or your check will not be cashed), and you will have the opportunity to re-submit your Annual Report. You can do this either through your geauxBIZ dashboard or by resubmitting the paper form.
