How to File Your Maine LLC Annual Report
Every Maine LLC conducting business in the state must file an Annual Report each year.
Filing this report is necessary to ensure your LLC remains compliant and in good standing with the state.
You can file your LLC’s Annual Report either by mail or online. We recommend filing online for convenience and faster processing time.
Instructions for both methods by mail and online are provided below.
Fee
The fee is $85 for both mail and online filings.
Processing Times
It depends on the time of year if you file by mail. The processing period is a week or less when they're not too busy. It may take a week or two to process if they are really busy or if the filing deadline is approaching.
If you file online, the processing time is immediate.
Due Date
Your LLC's Annual Report is due each year by June 1st. The first report is due the year after your LLC is formed.
For example, if your LLC was formed on April 15th, 2024, your first Annual Report will be due by June 1st, 2025.

Penalty
After June 1st, a $50 penalty will be added to the $85 filing fee, making the total $135. If you do not file by August 5th (65 days after June 1st), the state will administratively dissolve your LLC.
Reminders
The state no longer sends Annual Report reminders by mail, but if you provided your email address on your Certificate of Formation, you will receive email reminders. Regardless, we recommend setting a recurring reminder on your calendar to ensure you file your Annual Report before the due date each year.
How to File Your Maine LLC Annual Report by Mail
Download a Pre-printed Annual Report Form:
- Visit Maine's Annual Reports Online page
- Enter your LLC's Charter Number and click the "Create Form" button.
To find your LLC's Charter Number, check your approved Certificate of Formation. Alternatively, you can search for your LLC's name using Maine's Corporate Name Search tool, click "Information Summary" on the right, and find your Charter Number at the top.

You can either print the Annual Report form and fill it out by hand using a blue or black pen, or you can type in the information on your computer, and then print and sign the form. Use regular white paper (8.5" x 11") for printing.
1st Page
Purpose of your Business
Enter the general purpose of your business. It doesn't need to be highly detailed or specific unless you prefer. You can update the purpose as your business evolves and grows.
You can provide a brief description (e.g., "pizza shop," "real estate investing," "landscaping," etc.) or a more detailed explanation. Alternatively, you can use the default language to keep it general and open-ended.
"Any lawful business that a limited liability company is permitted to conduct under Maine state law."
Name and Address of Members/Managers
Enter the name and street address of at least one member or manager of your LLC.
Attached Pages
There is a small space labeled "List number of pages attached" that you can leave blank unless you need additional space. If so, attach the extra pages and write "1" (or more) on the line.
Date and Signature
Enter today's date, sign your name, print your name below, and specify your capacity. For example, you might write "John Doe, Member" or "John Doe, Manager."
2nd Page
Daytime Telephone Number and/or Email:
Enter your phone number, email address, or both. The Secretary of State will use this contact information if they have any questions about your Annual Report.
Payment and Mailing Instructions:
Prepare a check or money order for $85, made payable to "Secretary of State."

Processing Time and Verification:
Processing times for your Annual Report can vary. When things are slower, it usually takes about a week or less. But if it's a busy period or close to the deadline, it might take 1 to 2 weeks.
Nothing is sent back by mail, but you can check the status of your Annual Report online. Search for your LLC here, click on "Information Summary" to the right, scroll to the bottom, and click "View list of filings." Look for "Annual Report" in the left column, and the filing date will be listed to the right.
How to File Your Maine LLC Annual Report Online
Visit the Maine Secretary of State Annual Report Filing page:
Search your LLC
Click "File a Single Annual Report" and enter your LLC's Charter Number in the search box.
To find your LLC's Charter Number, check your approved Certificate of Formation. Alternatively, you can search for your LLC's name here, click "Information Summary" on the right, and find your Charter Number at the top.
On the next page, your LLC's name will appear in red. Click the "Continue" button to move forward.

Name and Address of Members/Managers
Enter the name and street address of at least one member or manager of your LLC in the designated sections, then click the "Continue" button.
Review
Review the information you've entered in your Maine LLCs Annual Report. If you need to make any changes, click the "Edit" links. If everything looks correct, click the "Continue" button to proceed.
Signature
Enter your title at the top (e.g., "Member" or "Manager"). Then, provide your full name as your signature, followed by your email address. Click the "Continue" button to proceed.
Review Again
Review the information in your Maine LLC's Annual Report one last time, then click the "Submit Filing NOW" button to continue.
Payment Method
Choose your payment method and click "Continue." On the following page, enter your billing and contact details, then click "Continue" to complete your payment.
Processing Time and Verification:
Once your payment is submitted, your Annual Report will be processed immediately. You will receive an email confirmation within a few minutes, confirming that your Annual Report has been successfully filed.
