Does Michigan require an Annual Report?
Yes, every Michigan LLC (Limited Liability Company) is required to file an Annual Report each year.

What is the Cost to File an Annual Report in Michigan?
The cost to file the Michigan Annual Report is $25 per year. This fee is required annually for the duration of your LLC's existence.
Veterans: Thank you for your service! You can file your Annual Report at no cost. To do so, call the Michigan Secretary of State at 517-241-6470 and request that the report be mailed to you. Do I have to file an Annual Report for my LLC every year?
Yes, you must file an Annual Report for your Michigan LLC every year. This is a state requirement to keep your LLC in good standing.
This obligation applies regardless of your business activity or income. Even if your LLC is inactive and does not generate any revenue, you are still required to file the Annual Report annually.
That said, it's acceptable if your Annual Report is submitted late in Michigan, as the penalty is relatively minor.
Due Date
The due date for the Michigan Annual Report is February 15th each year.
However, your first Annual Report may not be due immediately.

When is my 1st Annual Report due?
Michigan uses your LLC's Date of Organization to determine the due date for your first Annual Report.
To find this date, visit the Business Entity Search page, search for your LLC name, and look for the "Date of Organization in Michigan" on the Business Entity page.
If your LLC’s Date of Organization falls between January 1st and September 30th, your first Annual Report will be due by February 15th of the following year.
If your LLC’s Date of Organization is between October 1st and December 31st, your first Annual Report will be due by February 15th of the year after the next.

Penalty for failure to file Annual Reports
Michigan offers a two-year "grace period" for filing your Annual Report. If you file within this two-year window, you won't incur any late fees or penalties.
However, if you fail to file within 2 years of the due date, your LLC will lose its "good standing" status. This means others may have the opportunity to use your LLC's name.
If this occurs, you'll need to restore your LLC by filing a Certificate of Restoration ($50) along with all your overdue Annual Reports ($25 each). If someone else has taken your LLC’s name in the meantime, you will need to choose a new name.
Reminders
Michigan does not have a consistent system for sending Annual Report reminders.
Reminders may be sent via email, as pre-printed forms by mail, or sometimes to your Registered Agent (also known as Resident Agent).
For this reason, we recommend setting up recurring reminders on your phone, computer, and/or calendar.
How do I file my Annual Report in Michigan?
You can file online or by mail. We recommend filing your Michigan Annual Report online, as it provides immediate confirmation of your submission.
Things to have ready:
- Your CID and PIN
- LLC name
- Resident Agent name (aka Registered Agent) and address
- Credit or debit card
CID and PIN
To access the online filing, you will need your LLC CID (Customer ID Number) and PIN (Password).
If you formed your LLC yourself, you should already have your CID and PIN.
If you don't have or can't find your CID and PIN, you can recover them here: Michigan LARA: CID/PIN Recovery. You'll need your LLC’s Entity ID Number, which you can find by searching for your LLC name on the Business Entity Search page.

Get started:
- Visit the Michigan Corporations Division: Online Filing page.
- Log in using your CID and PIN.
- Locate the LLC (also known as Annual Report) and click "Select" to start your filing.
Annual Statement for Domestic Limited Liability Company
Your LLC’s Entity ID Number should already be populated in the Identification Number field. If it is not, you can find it by searching your LLC name on the Business Entity Search page.
Annual Statement Filing Year
Select the year for which you are filing the Annual Report. Most people will enter 2024. If you are filing a late report for the previous year, enter 2023, and so on.
Limited Liability Company Name
Your LLC's name will already be filled in this field.
You cannot make changes to the LLC name here.
Signature
Click "Add new entry to this list." Enter your name and select the appropriate title.
- If your LLC is member-managed, choose the title "Member."
- If your LLC is manager-managed and you are a Manager, select the title "Manager."
- If you are neither a Member nor a Manager but are authorized to file the Annual Report for the LLC, use the title "Authorized Agent."
Click the button to confirm that you are signing and filing an accurate Annual Report.
Then click "Add" to complete the signature process.
Submitter's information
The Submitter is the primary contact for your LLC Annual Report. The state will reach out to the Submitter if they have any questions regarding your filing.
- Enter your name in the designated field.
- You can leave the Business Name field blank (there is no need to enter your LLC name). Provide your mailing address and phone number.
- Also, enter your preferred email address
- This can be either personal or business. Your confirmation of the Michigan Annual Report filing will be sent to this email address.
Delivery Method for Statutory Notices Sent to Your LLC
If the form requests a "delivery method for statutory notices," this is the email address where the state will send future notices for your LLC.
Although the form mentions "Resident Agent," we recommend entering your email address to ensure that notices are sent directly to you.
★ Tip:
Most people use the same email address for the delivery of statutory notices as they did for the Submitter’s contact email.

You have the option to expedite your filing, but we don't recommend it. Even if you submit your Annual Report on February 15th and it isn’t reviewed for a week or two, it will still be considered "on time." There's no need to pay extra for a faster review.

You will receive a confirmation email with a copy of your filed Annual Report.
If you don’t receive the email, don’t worry. You can still download a copy online by following these steps:
- Go to the Business Entity Search page.
- Search for your LLC name.
- Click on "View Filings" at the bottom.
- Download your Annual Report.
