Instructions for Renewing Your Minnesota LLC Annual Report
Every LLC in Minnesota must complete an Annual Renewal each year.
While many states use the term "Annual Report," Minnesota refers to it as an "Annual Renewal". Both terms mean the same thing, so you might see them used interchangeably.
To ensure your LLC remains compliant and in good standing with the state of Minnesota, you must file an Annual Renewal.
You have the option to submit your LLC's Annual Renewal either by mail or online. Online filing is recommended for its ease and faster processing.
Instructions for both filing methods are provided below.
Fee
If your LLC is in good standing, there is no fee for filing.
If your LLC has been administratively dissolved due to not filing an Annual Renewal previously, you’ll need to pay a reinstatement fee. This fee is $25 for mail filings and $45 for online filings.
Processing Times
Filing by mail takes 4-7 business days for processing, whereas online filings are processed immediately.
Due Date
Your Annual Renewal must be submitted to the state by December 31st each year.
The first Annual Renewal is due in the year after your LLC's formation. For instance, if your LLC was established on October 15, 2024, your first Annual Renewal would be due by December 31, 2025.

Penalty
If you fail to file your Annual Renewal by December 31st, the state will administratively dissolve your LLC. To avoid complications, it's best to file well before the deadline.

January 1st.
Reminders
The Minnesota Secretary of State typically sends reminder emails and postcards each fall, often to your LLC’s Registered Agent. If you included your email address when filing your Articles of Organization, the state will also send reminders to that email.
How to File Your Minnesota Annual Renewal by Mail
File Number
Provide your Minnesota LLC's File Number. This number can be found in your LLC approval documents or by searching for your LLC name here. Click "Details" next to your LLC, and then locate the File Number.
Home Jurisdiction
This refers to the state or jurisdiction where your LLC was formed. Enter "Minnesota."
Business Name
On the first line, enter your LLC's full name, including any designator such as "LLC," "L.L.C.," or “Limited Liability Company.”
Alternate Name used in Minnesota, if applicable
Enter an alternate name only if you are a Foreign LLC (an LLC formed in another state and registered in Minnesota) otherwise, you can leave this field blank.
Registered Agent and Office Address
Provide the street address (PO Boxes are not acceptable) and the name of your Minnesota Registered Agent in the designated fields.
If your Registered Agent is an individual, they must be a Minnesota resident. If your Registered Agent is a company, it must be authorized to operate in the state.
Principal Executive Office Address
Provide your LLC's Executive Office Address. This can be your home address, an office address, or the address of your Registered Agent.
Chief Manager
List the name and address of the "chief manager," who oversees the daily operations of the business.
Email Address for Official Notices
Provide your email address so the Minnesota Secretary of State can send you reminders about your Annual Renewals. Select the option to prevent your email from being sold or used for spam.
Contact Person Info
Enter the name and phone number of the person the Minnesota Secretary of State should contact regarding your LLC. This is typically you.
Agricultural or Farming Land
Select "Yes" if your LLC owns, leases, or holds a financial interest in agricultural land (or land that can be farmed). If this does not apply, select "No."
If your LLC is involved with agricultural land, you must register with the MN Department of Agriculture. The registration fee is $15. You can download the registration form here and find additional information here.
Prepare Payment
If your LLC is in good standing, you don’t need to include a payment with the Annual Renewal form.
However, if your LLC has been administratively dissolved due to a previous failure to file an Annual Renewal, a $25 reinstatement fee is required. In this case, prepare a check or money order made out to the "MN Secretary of State."

Approval
When you file your Annual Renewal by mail, you won't receive a confirmation.
To confirm that your Annual Renewal has been processed, search for your LLC here, click "Details" next to your LLC, scroll to the bottom, and select "Renewal History" to view the filing date. Allow 1 to 2 weeks for your Renewal History to update.

How to File Your Minnesota Annual Renewal Online
Get Started
Go to the Minnesota Secretary of State's website and log in. If you don't have an account yet, you'll need to register and create one.
Under the "Business" section on the left side, click on "New Business, Amendment, Annual Renewal or Reinstatement."
Search your LLC
Search for your LLC at the top of the page. In the search results, click the "Details" link next to your LLC name.
★ Tip:
If your LLC has been administratively dissolved (shut down), select "Inactive" as the filing status before entering your LLC's name in the search box.
Click File Amendment/Renewal
At the top of your LLC's record page, click the "File Amendment/Renewal" link. Then, scroll down to the bottom and look under "Amendments – Available for Filing" on the left side. Click the "Annual Renewal – Limited Liability Company (Domestic)" link.
★ Tip:
If your LLC has been administratively dissolved, select the "Annual Reinstatement – Limited Liability Company (Domestic)" link.
Manager
Enter the name and address of the "chief manager," who is responsible for overseeing daily operations.
Principal Executive Office Address
Provide your LLC's Executive Office Address. This can be your home address, an office location, or the address of your Registered Agent.
Delivery Information
If you previously provided this information when filing your Articles of Organization, it will automatically populate in the fields. If not, enter the name and phone number of a contact person for the Minnesota Secretary of State to reach regarding your LLC. Typically, this will be you.
Client Reference Information
Leave the "Client Reference" field empty. This section is intended for individuals or companies that handle multiple LLC filings on behalf of clients and is usually not relevant for most filers.
Email Address for Official Notices
Provide your email address so the Minnesota Secretary of State can send you reminders about future Annual Renewals. Be sure to check the box below to prevent your email from being used for unsolicited messages.
Agricultural or Farming Land
Choose "Yes" if your LLC owns, leases, or holds a financial interest in agricultural land or land that can be farmed. If this does not apply to your LLC, select "No."
If your LLC does have such interests, you must register with the Minnesota Department of Agriculture, which requires a $15 fee. You can download the registration form here and find additional information here.
Review
Review your details carefully for any errors or typos. If you need to make any adjustments, click the "Previous" button at the bottom.
Once you've confirmed that everything is correct, click the “Submit” button to file your Annual Renewal with the state.
Congratulations! Your Minnesota LLC Annual Renewal has been successfully filed for processing.
Verification
When you file your Annual Renewal online, you'll receive an email confirmation once the processing is complete.
