When is the Nebraska Biennial Report due?

Every alternate year, or in odd numbered years, Nebraska LLC Biennial Reports are due.

The initial Biennial Report is due between January 1 and April 1 of the first odd-numbered year after your LLC's creation. You then have to file your report every odd-numbered year following that.

If your LLC was formed in 2023 or 2024, you'll need to submit your first Biennial Report between January 1 and April 1 of 2025. Future reports will be due every odd-numbered year, with the next one in 2027.

If your LLC was established in 2025 or 2026, you have until January 1, 2027, to file your first Biennial Report. Following that, you will submit reports on an odd-numbered basis, with the next one being due in 2029.

How early can you file your Biennial Report in Nebraska?

You can file your report as early as January 2nd on odd-numbered years.

Am I required to file a Nebraska Biennial Report?

Yes, every Nebraska LLC is required to file a Biennial Report every two years to maintain compliance and good standing with the Nebraska Secretary of State.

If you need to update any of these details—LLC Name, Designated Office Address, or Registered Agent and Office Address—you cannot make those changes directly on the Biennial Report. Instead, you must check the box to indicate that you will submit a separate form, known as the Statement of Change, to update this information with the Nebraska Secretary of State.

Here's how it works:

Once you've completed the Nebraska Biennial Report, you'll receive a message indicating that a Statement of Change must be filed if there are updates to be made.

You can submit the Statement of Change either by mail, with a $15 filing fee, or online, which costs $17.

In other words, if you need to update your LLC name, Designated Office Address, or Registered Agent and Office Address, be sure to check the box labeled "If this information has changed..." and then move on to the next question.

To avoid having to amend your LLC name, Registered Agent and Office Address, or Designated Office Address, just make sure this box is not ticked.

Principal Office Address

Please check your Principal Office Address information. You can either keep it as it is or make any necessary changes.

What is the difference between a Principal Office Address and a Designated Office Address?

The phrase "Principal Office Address" often causes confusion for individuals, especially when they see "Designated Office Address" at the top of the form. What distinguishes these two from one another?

Nebraska is unique in that you have 3 addresses on file with them:

  • Registered Agent's Office Address
  • Designated Office Address
  • Principal Office Address

The Registered Agent's Office Address is where your LLC’s Registered Agent is located. This address is used for receiving official documents and legal notices, such as court papers, if your LLC is sued.

This address must be a physical street address within Nebraska and cannot be a PO Box.

The Designated Office Address is your official office location in Nebraska.

This address must be a street address in Nebraska and cannot be a PO Box. It might be the same as your Registered Agent's Office Address, but it can also be different, like a home or business location.

The Principal Office Address is your main company address, which can be located anywhere, not just in Nebraska. This is often the most confusing part for many people.

If you're creating an LLC in Nebraska, this address will match your Designated Office Address. If you set up an LLC in another state and are now registering it to operate in Nebraska (known as a "Foreign LLC"), this address should be your office address from the original state.

After reviewing the page and ensuring all details are correct, click "Proceed to Payment" at the bottom to complete the payment for the filing fees.

Billing Information

Provide your name exactly as it appears on your credit or debit card, along with the billing address associated with the card. Then, enter your email address twice for confirmation.

Account Information

Select "pay online with a credit card", then enter your card details.

Process Payment

Next, click "Verify Information" at the bottom to submit your payment to the state.
