Annual Requirements for Nevada LLCs
After establishing a Nevada LLC, you need to file an Annual List and renew your State Business License each year.
This keeps your LLC in good standing and lets it keep operating in Nevada.
The Annual List and State Business License renewal are part of the same filing.
The full name of the Annual List is the "Annual List of Managers or Managing Members."
Nevada LLC annual fees:
- Annual List of Managers or Managing Members: $150 per year.
- Nevada State Business License Renewal: $200 per year.
Filed with:
Your Nevada LLC's Annual List & State Business License renewal are filed with the Nevada Secretary of State.
Due date:
Your Nevada LLC's Annual List and State Business License renewal are both due by the last day of the month in which your LLC was originally approved.
On your approved and stamped Articles of Organization, this date is located in the upper-right corner and is marked "Filing Date and Time". As an alternative, find your LLC using the Nevada Business Search tool and look at the "File Date".
For example, if your Nevada LLC was approved on April 9, 2024, you’ll need to submit your first Annual List and renew your State Business License by April 30, 2025. Subsequent renewals will be due every year on April 30.

Early filing:
You can file your Nevada LLC Annual List and renew your State Business License up to 90 days before the due date.
Penalty:
If you fail to file your Nevada LLC Annual List and renew your State Business License on time, a $175 late fee will be imposed, and your LLC will be classified as "Default".
If you keep missing this requirement, your LLC's status will be changed to "Revoked".
You can reinstate your Nevada LLC to restore its good standing, but you'll need to pay all overdue annual fees and penalties for each missed year. If an LLC remains in "Revoked" status for more than 5 years, it will be classified as "Permanently Revoked".

Filing Your Nevada LLC Annual List & State Business License Renewal
You can file your Nevada LLC's Annual List and renew your State Business License either online or by mail.
Online Filing:
The following instructions are for online filing. If you prefer to file by mail, download the paper Annual List & State Business License renewal form and send it to the state along with a check or money order for $350 (payable to "Secretary of State"). The mailing address is:

Filing Deadlines and Reminders
Your Annual List and State Business License renewal are due by the last day of the month in which your LLC was approved.
Reminder Notifications:
The Nevada Secretary of State sends a courtesy reminder to your LLC's Registered Agent address about three months before the due date. If you have a SilverFlume account, you'll also receive email reminders one, two, and three months before the deadline.

Even if you do not receive these reminders, it’s your responsibility to file on time. To avoid missing the deadline, set up recurring reminders on your phone, computer, and in a visible spot.
Filing Online Instructions
Create or Access Your SilverFlume Account:
If you haven't already, create an account on the SilverFlume portal. If you already have an account, log in and go to the "Home" page.
Start the Filing Process:
- Click "Renew Your Business" on the left menu.
- Select "File Annual List and/or State Business License".
- Search for your LLC by name, entity number, or business ID.
- Choose your LLC from the list and click "Next".
- Click "File Annual List & State Business License" to start.
Complete the Filing
Manager/Managing Member
- Review the list of Managers or Managing Members.
- Edit, delete, or add entries as needed, or click "Next" if no changes are required.
Signature of Officer
- Check off the box and agree to the terms
- Enter your title ("Manager" or "Managing Member")
- Enter your first name and last name
- Click "Next" to proceed
Review
- Double-check the information you’ve entered for accuracy.
- Click "Next" to proceed.
Checkout
- Return to your SilverFlume dashboard.
- Click "Checkout Now".
- Verify the total of $350 in your Cart ($150 for the Annual List and $200 for the Business License renewal).
- Click "Proceed to Checkout".
- Select "Credit Card" as your payment method.
- Enter your payment details, click "Review Order", and finalize the payment.
Congratulations! Your Nevada LLC Annual List and Business License renewal are filed and processed.
