Annual Report Requirement

Every LLC doing business in New Hampshire must file an Annual Report each year to stay compliant and maintain good standing with the state.

Complete your Annual Report online through the New Hampshire QuickStart system. You can either submit the report online or print and mail it.

Filing Fee

The fee for filing the Annual Report is $100 per year.

Due Date

Your Annual Report is due between January 1st and April 1st each year. For your first report, it's due the year after your LLC is formed.

Examples:

  • If your LLC was formed on February 5, 2024, your first report is due between January 1 and April 1, 2025.
  • If your LLC was formed on November 22, 2024, your first report is due between January 1 and April 1, 2025.

Early Filing

You can file your Annual Report starting January 1st of each year.

Consequences of Late Filing

Late Fees: If you miss the April 1 deadline, a $50 penalty is added, making the total $150.

Not in Good Standing: Your LLC will be marked as "Not in Good Standing" if you file late.

Dissolution: Failure to file for two consecutive years will result in the administrative dissolution of your LLC.

Reminders

The Secretary of State sends a reminder by mail or email shortly after January 1st, based on your LLC's Certificate of Formation. It's still your responsibility to file on time, so set your reminders on your phone, computer, or calendar.

If there are any errors in your Annual Report

If there are errors in your Annual Report, you'll receive a notification and have 30 days to correct and resubmit it.

Filing Your New Hampshire LLC Annual Report

Get Started:

  • Go to New Hampshire QuickStart.
  • Click "Login" and sign in.
  • In your dashboard, find and click on "Annual Report" in the Quick Start menu or under "BUSINESS SERVICES" on the left side.

Search and Select:

  • Search for your LLC by name or Business ID.
  • Select your LLC and click "Continue".

Principal Purposes:

Check your LLC's Principal Office Address and Mailing Address.

If the addresses are still correct, you don’t need to make any changes in this section.

If you need to make changes, click the Edit button on the right, update your address details, and then click the Save Selection button.

Registered Agent:

Review your LLC's Registered Agent information.

If there are no changes, you don’t need to make any updates in this section.

To change or update your Registered Agent, you need to submit a separate filing (Statement of Change of Registered Agent) either by mail or online. This can't be done through the Annual Report.

Principal Office Information:

Review your LLC's Principal Office Address and Mailing Address.

If the addresses have not changed, there’s no need to update anything in this section.

If you need to make changes, click the "Edit" button on the right. Update your address details and then click the "Save Selection" button.

Email Address:

You may enter an email address if you wish, but it’s optional.

Click "Continue" to proceed.

Member/Manager Information:

Review and update Member/Manager details.

Add or remove Members/Managers as needed and click "Save Selection".

Certify:

Check the "Certify" box to agree to the terms and conditions, then click "Continue".

Effective Date:

Your effective filing date will be set to today's date automatically and cannot be changed. You don't need to do anything here. In practical terms, it means your LLC's Annual Report is filed with the state on today’s date.

Name & Title

Enter your name and select your title from the drop down list.

Title: You will likely sign as either a Member or a Manager, or as the Authorized Signer.

Click "Continue" to proceed.

Review and Payment:

Review your information and correct any errors.

If you need to make changes, click the “Edit” buttons next to any section. If everything is correct, you can proceed to make the payment

Submit it by mail and pay by check:

Click the "Mail with Check" button. Send a check or money order for $100 to:

Submit it online and pay with a credit card:

Click "Add to Shopping Cart and Checkout". Select "Credit Card" and enter your payment details. Pay $100.

Certificate of Good Standing (Optional):

A Certificate of Good Standing costs $5.

It verifies that your LLC is up-to-date. Select "Yes" or "No" and proceed to checkout.

Billing Information

Enter your billing information and click the "Pay With Your Credit Card" button.

Approval of a filed LLC Annual Report (online)

Your Annual Report is processed instantly during the online filing.

On the left, click "View Receipt" to download your receipt.

On the right, click "View" to download your filed Annual Report.

Finally, click "Done" at the bottom. Congratulations, your New Hampshire LLC Annual Report has been successfully filed!

Note:

You’ll receive an email from the state with a copy of your filed Annual Report. The receipt won’t be included, but it’s not necessary.
