Filing an Annual Report for a New Jersey LLC
After forming an LLC in New Jersey, you are required to file an Annual Report each year.
This filing is necessary to keep your New Jersey LLC compliant and in good standing with the state.
Annual Report fee
The Annual Report fee for a New Jersey LLC is $75 per year.

This fee was previously $50 but was increased to $75 starting in 2019.
Filed with:
Your LLC's Annual Report is filed with the New Jersey Division of Revenue & Enterprise Services, which we will refer to as the Division of Revenue for brevity.
Online Filing Only:
You must file your New Jersey LLC's Annual Report online. There is no option to file by mail.
Due Date:
The Annual Report is due by the end of your LLC's anniversary month each year. The anniversary month is the month when your LLC was approved.
You can find this date on your stamped and approved Certificate of Formation, or by searching for your LLC's name on the state’s business name search page.
For example, if your New Jersey LLC was formed on June 5th, 2024, your first Annual Report will be due by June 30th, 2025. Thereafter, each Annual Report will be due by June 30th each year.

Reminders:
The Division of Revenue will send a courtesy reminder to your LLC's Registered Agent address about 1 to 2 months before the Annual Report is due.
However, it remains your responsibility to file on time even if you do not receive this reminder. We suggest setting up recurring reminders on your phone, computer, or calendar to avoid missing the deadline.
Annual Report vs. LLC Partner Tax:
The Annual Report and its $75 fee are separate from the LLC Single-member Tax.
The LLC Partner Tax, filed with the Division of Taxation, is required for Multi-Member LLCs (two or more owners) and costs $150 per LLC member per year.
Single-Member LLCs do not need to pay the LLC Partner Tax.

Filing Your New Jersey LLC Annual Report Online
Get Started:
- Visit the New Jersey Online Annual Reports page: New Jersey’s Online Annual Reports and Change Services.
- Click on "File an Annual Report" in the first box on the left.
Business Identification:
Enter your NJ LLC's Entity ID Number, which can be found on your approved Certificate of Formation or by searching your LLC on the state's Business Name Search.
Select "NJ Limited Liability Company (LLC)" from the Business Type dropdown menu.
Enter the month and year when your LLC was approved. This date is available on your Certificate of Formation or the Business Name Search page.
Annual Reports Due:
You will see your LLC's name and any outstanding Annual Reports on this page. Click "Continue" to proceed.
Registered Agent and Office:
Review your existing Registered Agent information. If no changes are needed, click "Continue".
To update or change your Registered Agent, click "Change". Note that there is a $25 fee for changing your Registered Agent.
Business Address:
Review the Main Address and Principal Address. If no changes are needed, click "Continue".
To update your addresses, click the "Change" button. Note that the Main Address and Principal Address must be street addresses and can be located in New Jersey, outside of New Jersey, or in any country. Only the Main Address is required.
Officers:
List the LLC Members (owners) of your New Jersey LLC.
To add additional Members, click "Add New Officer".
Worker's Compensation Insurance:
If required to have worker's compensation insurance, enter the name of your insurance company, policy number, and the start date of the policy.
If not required to have insurance, select "No".
Review and Sign:
Review all entered information for accuracy. Click "Edit" if any changes are needed.
Select the signer of the Annual Report. Most filers are Members and select "Business Owner/Officer or Member". Enter your name, title (commonly "Member"), phone number, and address, then click "Continue".
Additional Documents (Optional):
You can purchase additional documents if needed. A Certificate of Standing (also known as a Certificate of Good Standing) verifies that your LLC is in good standing with the state and may be necessary for obtaining financing or registering your LLC in another state.
It costs $50 for a Short Form, or $100 for a Long Form with Filing History or Long Form with Officers and Directors. A Status Report, verifying that your LLC is active, costs $5.
Payment and Check-Out:
Choose "credit card" for payment and click "Continue".
Enter your personal and billing information, then click "Next".
Enter your credit card details, click "Next" and finalize your payment.
Once processed, you will receive a confirmation page where you can download a copy of your filed Annual Report. Keep one or two copies for your records.
