Oklahoma LLC Annual Report (Annual Certificate)

Every LLC in Oklahoma that conducts business within the state is required to file an annual certificate (commonly known as an annual report) each year.

While most of states call it a "Annual Report," Oklahoma calls it a "Annual Certificate". While the terms are frequently used together it's important to keep in mind that in Oklahoma, an Annual Certificate is the official designation for it.

You must file this Annual Certificate to guarantee that your Oklahoma LLC stays in good standing with the Secretary of State and compliant.

Filing Fee

The fee for submitting your Annual Certificate is $25.

How to File Your Annual Certificate

The Oklahoma LLC annual certificate may be submitted online or by mail. Regardless of the method you select, there is a $25 cost.

Online filing is advised since the Secretary of State prefers electronic submissions. That being said, filing via mail is still an option if you feel uneasy using online services.

Processing Times

  • By Mail: Processing typically takes 7 to 10 business days.
  • Online: Processing is usually completed within 1 to 2 business days.

Due Date

The anniversary of starting your LLC is the deadline for filing your annual certificate.

The Certificate of Organization or a name search of your LLC using the relevant Oklahoma state resources will provide the establishment date of your LLC.

To avoid last-minute issues, it's advisable to file your annual certificate at least one month before the due date.

Penalty

The state will classify your LLC as "not in good standing" if your Annual Certificate is not filed within 60 days of the anniversary date. You can't file any paperwork or take part in any court cases while you're in this state.

If you do not file the Annual Certificate by the third anniversary of its due date, your LLC will be marked as "Cancelled".

Your LLC's name will become public domain after six years unless you submit an Application for Reinstatement, along with any outstanding Annual Certificates and related payments.

Reminders

The Secretary of State will send you reminders about your Annual Certificate by email, starting 60 days before the due date.

How Early Can You File an Annual Certificate?

The reminder email from the Secretary of State can be accessed 60 days prior to the due date, so you may submit your Annual Certificate as soon as possible.

Note:

Obtain the Oklahoma Annual Certificate Form from the appropriate state resources. You can either print the form and fill it out by hand using a black pen or type the information directly into the form on your computer, then print and sign it.

LLC Name and Address

In the upper-left section, provide the full name of your LLC and its principal address.

Filing Number and Anniversary Date

Enter the Filing Number for your LLC on the right. You can look up this number by searching for your LLC name here or by consulting your Certificate of Organization.

Is your Oklahoma LLC an active business?

If your LLC is current with all Annual Certificates, select "Yes". If there are any overdue Annual Certificates, select "No".

Street Address

Enter the street address of your LLC's principal place of business (PO boxes are not acceptable).

This spot can be your residence, a friend's or relative's house, an office, or the address of your registered agent.

Email Address

Provide your primary email address.

It's best to use an email that you check regularly. The Secretary of State will use this address to send you future reminders.

Sign and Date

Print your name and title to the right. Select an inference like Member or Manager. After entering the current date on the form, print it off and sign it.

Note:

Many LLCs in Oklahoma are run by their members, which means that every owner is active in day to day management. An LLC may also be manager-managed, in which case the members assume a less involved position, and the day to day operations are overseen by one or more appointed managers. Prepare Payment

Write a check or money order for $25, made payable to "Oklahoma Secretary of State".

Processing Time and Verification

When filed by mail, your Annual Certificate will be processed in 7 to 10 business days.

After processing, you will receive a stamped certificate and receipt via email.

Get Started

Visit the Oklahoma Secretary of State's website.

Enter your username and password to sign in.

In the vertical menu on the right, click "File Annual Certificates Electronically".

Under "Select a Work Item", click the "Start New" button.

LLC Filing Number

Type your Oklahoma LLC's Filing Number into the search box and press the search button (magnifying glass icon).

You can locate this number on your Certificate of Organization or by searching for your LLC name here.

Tip:

A new field or box might show up below. Simply disregard it and wait a moment for the new page to finish loading.

Review LLC Information

On the next page, select your LLC from the list and click "Next".

Is your Oklahoma LLC an active business?

If your LLC is in good standing(meaning you don't have any late/outstanding Annual Certificates), select "Yes". If not, select "No".

Principal Address and Email

Check your Oklahoma LLC's principal address and update it if necessary (PO boxes are not permitted). This address can be your home, a friend or family member's address, an office, or your Registered Agent's address.

The Oklahoma Secretary of State will send reminders for the Annual Certificate to the email address you provide. We recommend using your email or the one you check regularly.

Signature

To sign electronically, click "Add Signature", choose "ACKNOWLEDGMENT OF AN INDIVIDUAL", enter your first and last name, and choose your title ("Member" or "Manager"). To add your signature, click "Insert" after that.

Most Oklahoma LLCs are managed by their members, but some may be manager-managed. To learn about the differences, refer to additional resources.

Review Information

Check all information for accuracy and fix any errors. If changes are needed, click "Previous" to edit the relevant section.

When everything is correct, click "Continue" to proceed.

Payment

Click "Begin Checkout". You'll be taken to a login page. Enter your username and password, then click "Secure Sign In".

Tip:

Check "Remember me on this computer" to save your login details.

On the next page, click "Add a Payment Method". Ensure "Credit Card" is selected by default, enter your billing details, and click "Add Payment and Continue". Submit your payment on the following page.

Congratulations, your Annual Certificate has been submitted for processing! Wait for verification.

After filing online, your Annual Certificate will be processed within 1 to 2 business days.

You will receive a certificate and receipt via email once it's been filed.
