Annual Report Requirements for an Oregon LLC
Once you establish an LLC in Oregon, you must file an Annual Report and pay a fee every year to keep your LLC in good standing and compliant with state regulations.
Filing Fee
The fee for filing the Annual Report is $100.
This amount is required annually for the entire duration of your LLC's existence.
Due Date
Your Annual Report is due on the anniversary date of your LLC formation each year.
Your LLC formal approval date from the Oregon Secretary of State falls on this day.
See your Articles of Organization or look up your LLC name on the Oregon Registry to find out the anniversary date of your LLC.
For example:
- If your Oregon LLC was formed on November 10th, 2023, your first Annual Report will be due by November 10th, 2024.
- Your first Annual Report is required by February 3rd, 2025 if your Oregon LLC was created on that day.

How to File an Oregon LLC Annual Report
The Oregon Secretary of State's website provides an online filing option for your Oregon LLC Annual Report.
You will complete the form online and submit it electronically. The $100 filing fee can be paid using a debit or credit card.
Processing Times
Once you submit your Annual Report online, it will be processed and approved within 1 to,2 business hours.
The business is open from 8 am to 5 pm, Monday through Friday. Reports submitted on weekdays before 3 pm will be processed in one to two business hours. Reports submitted on weekends or after 3 pm will be processed the next working day.
After your report is filed, you will receive an email confirmation along with a letter of recognition.
How Early Can an Annual Report Be Filed?
You can file your Annual Report as soon as you receive the reminder notice from the state, which is typically sent by mail about 45 days before the due date.
Alternatively, you can try filing online within the early filing window. If it's too early, the system will inform you.
Reminder Notice
The Oregon Secretary of State will send you a reminder notice approximately 45 days before your LLC's Annual Report is due. This reminder will be sent to your LLC’s mailing address.
If no mailing address is on file, the reminder will go to your Registered Agent's address. The reminder includes a paper form of the Annual Report that you can return by mail. However, online filing is preferred and is generally more efficient.
Penalty
You will receive a 45-day grace period after the due date to file your Annual Report. If you do not file within this period, the state will administratively dissolve your LLC.
To reinstate your LLC, you will need to file a Reinstatement Form, pay a $100 penalty, and submit any overdue Annual Reports with the associated $100 filing fee for each missed report.
Important
One of the main reasons for LLC dissolution by the Oregon Secretary of State is failure to file the Annual Report. Even if you do not receive the reminder notice, it is still your responsibility to file the report on time each year.
Consider creating recurrent computer or phone reminders, and make a note of the deadline somewhere obvious, to help you remember it.
Completing the Oregon LLC Annual Report Online
Oregon Registry Number
Locate your LLC's Oregon Registry Number, which can be found on your LLC's approved Articles of Organization or by searching your LLC’s name in the Business Entity Search.
Access the Online Annual Report Filing
Enter your LLC's Registry Number on this page Business Registry Web Renewal.
Click the "Renew Online" button to begin the process.
Email Address
Enter your email address twice at the top of the page. This address will receive the Acknowledgement Letter confirming your report submission.
Click "Start Renewal" at the bottom to proceed.
Note Before Starting
The purpose of this Annual Report is to update the state with your LLC's current contact information. You will either update, change, add, remove, or confirm existing information throughout the report.
Business Overview
Activity Description
Update the description of your business if there have been changes or leave it as is if there have been no changes.
Business Email
Update the email address provided for your business or keep it the same if there are no changes. Despite the label "business email", you can use your email address if preferred.
Mailing Address for Notices
Update your Mailing Address or leave it unchanged. This address is used for sending reminders and notices.
It can be located in any state, and PO Boxes or Private Mailboxes (such as those from The UPS Store) are acceptable.
Daytime Contact
Add or update your contact information as needed. This should be the name of one of the LLC's owners or managers, and although it says "business phone", you can use a personal phone number if you prefer.

Jurisdiction and Physical Location
Principal Place of Business Address
Update this address or leave it unchanged. This address must be a physical street address in any state PO Boxes or Private Mailboxes are not permitted.
Registered Agent
Update the information for your LLC's Registered Agent or leave it unchanged.
- If your Registered Agent is an individual (like yourself, a friend, or a family member), select "Individual" at the top, then provide their name and physical street address in Oregon.
- If you use a Commercial Registered Agent, select "Entity of Record" at the top, provide their Registry Number, and enter their name and physical street address in Oregon.
The Registered Agent's address must be a street address located in Oregon PO Boxes or Private Mailboxes are not accepted.

Member/Manager
Review Existing Members or Managers
You will see a list of current Members or Managers. Leave this section as is if there are no changes, or add new Members or Managers, or remove existing ones as needed.
Click the "Add Member or Manager" button to add a new Member or Manager. Selecting whether the person is a Member or Manager will open a pop up window. See the LLC Managers and Titles section if you are unclear about the distinction. To continue, click "Continue".
Review, Sign, and Make Payment
Review
On the next page, review all entered information for accuracy and look for any typos. If changes are necessary, click the "Edit" link next to the section you need to modify.
Once everything is correct, click "Continue".
Review Confirmation
A confirmation message will prompt you to verify that all information is accurate. Click "Yes" to confirm and proceed.
Signature
Enter your title, and first and last name, and check the "Sign" box to electronically sign the form.
You can use "Member", "Manager", or "Authorized Agent" as your title.
If you need to add more signatures, click "Add Signer". After completion, press the "Submit" button.
Submit and Pay
Your total Annual Report fee will be displayed.
Click "Ok" to proceed.
Enter your personal information, including your name, address, phone number, and email address.
Click "Next", then provide your credit or debit card details and click "Next" to complete the payment.
Congratulations! Your Oregon LLC's Annual Report has been successfully submitted for processing.
A confirmation message will appear, and you will receive an email notification when your Annual Report is processed and approved.

- If submitted Monday through Friday before 3 pm, you will receive email confirmation within 1-2 business hours.
- Submissions after 3 pm or on weekends will be processed the next business day.
After filing, you will get an email with an Acknowledgement Letter. Save this document for your records.
To obtain a copy of your filed Annual Report, search for your LLC's name on the Oregon Registry and locate the "Summary History" section. Click the "document icon" next to your most recent Annual Report to download and save it.
