New Annual Report Guidelines for Pennsylvania LLCs
Beginning in 2025, every LLC in Pennsylvania must submit an Annual Report each year to keep their active status.

Before, Pennsylvania LLCs were only required to submit the Decennial Report, a report that was due every ten years. This will be superseded beginning in 2025 by an annual report that needs to be submitted annually.

What is an Annual Report for an LLC?
The Pennsylvania LLC Annual Report is a filing requirement designed to update your LLC’s contact details with the Pennsylvania Department of State.
It can be submitted either online or by mail, ensuring that your LLC remains compliant and in good standing.
Does Pennsylvania require an Annual Report?
Starting in 2025, all Pennsylvania LLCs (Limited Liability Companies) will be obligated to submit an Annual Report each year. This state requirement is necessary to maintain your LLC’s good standing.
This requirement is mandatory regardless of your LLC's business activity or income. In other words, even if your LLC is inactive and earns no revenue, you are still obligated to file this paperwork annually.
That said, it's acceptable if your Annual Report is filed late in Pennsylvania, as the penalty for late submission is not severe.
How much does it cost to file an Annual Report in Pennsylvania?
The cost for filing the Pennsylvania Annual Report is $7 each year.
This fee is required annually for the entire lifespan of your LLC.

When is my first Annual Report due?
The deadline for submitting your first Annual Report is September 30, 2025, if your LLC was founded between 1994 and 2024.
If you form your LLC in 2025 you have until September 30, 2026, to file your first Annual Report.
Subsequently, your Annual Report will be due by September 30 each year thereafter.

Reminders
Reminder postcards will be sent to your Registered Office (or Registered Agent) two months before the deadline, typically during the first week of August.
However, if you do not receive the reminder postcard, you are still required to file the Annual Report on time.
We suggest setting up recurring reminders on your phone, computer, and/or calendar to ensure you don’t miss the deadline.
