Annual Report for Rhode Island LLC

Once you establish an LLC in Rhode Island, you are obligated to submit an Annual Report each year.

To keep your Rhode Island LLC in good standing with the Secretary of State of Rhode Island, you must make this filing.

This fee is required annually for the entire duration of your LLC's existence in Rhode Island.

Method of Filing the Annual Report

You have the option to file your Rhode Island LLC's Annual Report either online or by mail. Regardless of your chosen method, the state will process your Annual Report on the same day it is received.

Due Date

The Annual Report for your Rhode Island LLC is due between February 1 and May 1 each year.

The first Annual Report is due in the year following the formation of your LLC.

Note:

The deadline for filing used to be between September 1 and November 1 annually. This changed in 2022, and the current filing window is from February 1 to May 1.

Penalties for Late Filing

You have a grace period until December 1 to file your Annual Report without incurring additional fees. If you miss this deadline, a penalty of $25 will be added to the $50 filing fee. This penalty is assessed for each year the Annual Report is not filed.

Even though the penalty might seem modest, it is important to note that the Rhode Island Secretary of State has the authority to dissolve your LLC for failure to file Annual Reports. Reminder

The Secretary of State will send reminder notices to your Rhode Island Registered Agent (also known as a Resident Agent) at the beginning of July each year.

This reminder is considered a courtesy hence, it remains your responsibility to ensure the timely filing of your Annual Report, even if you do not receive the reminder.

Early Filing

You can submit your Annual Report as early as January 1.

Early filing is allowed beginning on January 1, even though the official filing period runs from February 1 to May 1.

Instructions for Online Filing of the Rhode Island Annual Report

Important Note:

To avoid having to restart your filing process, it is recommended to review the following instructions twice: first, to familiarize yourself with the process, and second, to follow the steps while completing the online filing.

Obtain Your LLC's CID and PIN

To file your Annual Report online, you will need a Customer Identification Number (CID) and Personal Identification Number (PIN).

These credentials are typically sent to your Rhode Island Registered Agent before the Annual Report filing period begins.

If you or your Registered Agent did not receive the CID and PIN, you can request them by contacting the Rhode Island Secretary of State at 401-222-3040.

Access the Online Filing System

Visit the Rhode Island Secretary of State's Business Services Online Filing System.

  • Enter Your CID and PIN.
  • Input your CID and PIN, then click the "Submit" button.
  • Select "Annual Report".
  • Choose "Annual Report" from the options and click "Submit".

Specify the Annual Report Year

Enter the year for which you are filing the Annual Report.

For instance, enter 2024 if you are filing for that year.

Review Information

ID Number

This field is automatically populated with your LLC's ID number.

Exact Name of the Limited Liability Company

This field is pre-filled with your LLC's name.

State of Formation

This field is also pre-filled with Rhode Island.

Enter NAICS Code

If the NAICS Code is not pre-filled, you need to enter a code. NAICS Codes are used by government agencies to analyze economic data.

Use the NAICS tools to find the most appropriate code for your LLC's business activities. If you cannot find a relevant code, you may enter "999999" for "Unclassified".

Provide a Description of Your Business

In the section describing the nature of your business in Rhode Island, the description from your Articles of Organization should appear.

If necessary, you can edit this description. If the box is empty, please enter a summary of your company's operations. For example, you can write "pizza shop", "real estate investing", or "landscaping", or provide a short sentence describing your business, such as "restoration of vintage automobiles" or "life coaching services and products".

Update Principal Office Address

Your existing principal office address will be displayed. You can leave it as is or make changes if necessary.

This address cannot be a PO box it must be a street address. Use your home address, a friend's or family member's address, or the address of your Rhode Island Registered Agent if you don't have a business location.

Enter Mailing Address and Contact Information

The current mailing address and contact details for your LLC should be displayed. You may update these details if necessary.

Depending on your position within the LLC, you may list yourself or another appropriate person under Contact Name, and you may use terms like "Member" or "Manager" under Contact Title.

Confirm Resident Agent Information

Your LLC's current Resident Agent information will be shown. You cannot change your Resident Agent through the Annual Report form.

How to Change RI Resident Agent:

To change the address of your Resident Agent, use Form 642A.


To change both the address and name of your Resident Agent, use Form 642.

Authorize Filing

The form will indicate that the Annual Report must be signed by an authorized person from the LLC. Ensure that the person signing electronically is authorized to do so.

Complete Survey Questions (Optional)

After completing the main form, you may encounter three survey questions. These questions are optional and are intended to gauge the Rhode Island economy's status. You can choose to answer them or leave them blank.

Enter Filer's Contact Information

Provide your name, LLC's name, address, phone number, and email address in the designated fields.

Electronically Sign the Form

Enter the full name in the electronic signature box of the person who is allowed to sign the document. To continue, click "Click HERE to Submit This Information" after accepting the terms of service.

Review Your Information

Carefully review all the information you have entered to ensure accuracy. If any corrections are needed, click the "Make Corrections" button. If everything is correct, click the "Accept" button.

Payment

  • Click the "Enter Credit Card Details" button.
  • On the next page, verify the total charges and click "PAY VIA CREDIT CARD" to continue.
  • Enter your credit card information, contact details, and billing address.
  • Click "Next" and then "Submit Payment" to finalize your payment and submit your Annual Report.

Checking Approval or Rejection of Your Filing

For online requests, the Rhode Island Secretary of State will review your Annual Report on the same day it is received, provided it is during business hours.

If filed Monday through Friday from 8:30 AM to 4:00 PM, the review will occur on the same day. If filed after 4:00 PM on Friday or over the weekend, the review will take place on the following Monday.

To check the status of your Annual Report, follow these steps:

  • Visit the Rhode Island Secretary of State's Corporate Database.
  • Search for your LLC using its name or ID number.
  • Click on your LLC's name in the search results.
  • Scroll to the bottom of the LLC's record and select "ALL FILINGS".
  • Click the "View Filings" button.
  • Locate the most recent "Annual Report" and click the link to download or print it for your records.

Handling a Rejected Annual Report

If your Annual Report is rejected, the Rhode Island Secretary of State will send you an email with details on what needs to be corrected.

You will then be permitted to resubmit the Annual Report after making the necessary amendments.
