Annual Report for Tennessee LLCs

After establishing your LLC in Tennessee, it is mandatory to submit an Annual Report each year.

Filing Fee for Annual Report

For LLCs with 1-6 Members

The annual filing fee is $300.

For LLCs with More Than 6 Members

You will incur an additional fee of $50 for each member exceeding 6.

Examples:

  • For an LLC with 7 members, the total fee will be $300 plus $50 (for 1 extra member), resulting in a total of $350.
  • For an LLC with 10 members, the total fee will be $300 plus $200 (for 4 additional members), making the total $500.

Filing Deadline

Your $300 filing fee for the Annual Report is due annually.

It must be submitted by the first day of the fourth month following the conclusion of your LLC's fiscal year.

If you have designated your fiscal year as January 1st through December 31st (a common choice), your Annual Report will be due by April 1st each year.

Online Filing

You can pay using a credit card or debit card.

Mail Filing

You may use a check or money order.

Please make checks or money orders payable to the"Tennessee Secretary of State".

Instructions for Online Filing

To file online, complete the Annual Report on the State's website, submit it electronically, and pay the filing fee using a debit or credit card. Note that there is an additional "convenience fee" for online processing.

Instructions for Mail Filing

For mail filing, fill out your Annual Report on the State's website, print it, and send it to the State along with a check or money order for the filing fee.

Mail your completed Annual Report and payment (check or money order for $300, payable to "Tennessee Secretary of State") to:

Late Fee/Penalty

Failure to file your Annual Report within 2 months of the due date will result in your LLC being administratively dissolved and terminated.

What to Expect

Upon successful online filing, you will receive a confirmation message and can print your Annual Report for your records.

When filing by mail, the State does not provide a receipt or confirmation documents.
