Each Utah LLC is required to submit an Annual Report annually to maintain good standing with the Utah Department of Commerce.

What is an Annual Report for an LLC?
The Utah Annual Report is a document that updates your LLC's contact information with the Utah Division of Corporations.
You can file Annual Reports in Utah either online or by mail, and doing so is crucial to maintaining the active status of your LLC.

Is Utah Requiring an Annual Renewal?
Indeed, each year an LLC (Limited Liability Company) in Utah is required to produce an Annual Report.
What is the Cost to File a Utah Annual Report?
The filing fee for the Utah Annual Report is $18 annually. This fee is required each year for the duration of your LLC’s existence.

Must I File an Annual Renewal Every Year?
Yes, filing a Utah Annual Report (or Annual Renewal) is mandatory every year. This requirement is in place to keep your LLC active and in good standing with the state of Utah.
This obligation stands regardless of the LLC's business activity or earnings. Thus, even if your LLC does not operate or generate revenue, you are still required to file an Annual Report annually.
What Information is Needed to File the Utah Annual Report?
To complete your Annual Renewal, you will need the Renewal Postcard sent to your LLC.
Why is the Renewal Postcard Important?
It contains crucial information, including:
- The Entity ID number of your LLC
- The date by which your annual renewal is due
- The number that you need to access the online filing system is your Renewal ID.
Where is the Renewal Postcard Sent?
The Utah Division of Corporations will mail the Renewal Postcard (also known as the Renewal Notice) to your Utah Registered Agent.
Your Registered Agent should receive this postcard approximately 60 days before the report's due date. If you or a friend serve as your Registered Agent, make sure to watch for this mail. If you use a Registered Agent Service, they should either scan or forward the Renewal Postcard to you.
What if I Can't Locate the Renewal Postcard?
If you did not receive or misplaced the Renewal Postcard, you can request the necessary information from the Utah Division of Corporations.
Due Date
Annual Reports in Utah are due by the final day of your LLC's anniversary month.
The month of your LLC's official approval by the Utah Division of Corporations is known as the anniversary month. This date can be found by using the Utah Business Entity Search to seek up your LLC or by referencing your authorized Certificate of Organization. Your Renewal Postcard is printed with the expiration date as well.
For example, if your LLC was approved on March 12, 2024, then March 12 is your anniversary date and March is your anniversary month. Consequently, your Annual Report will be due by March 31 of each following year.
When is the First Utah Annual Report Due?
The first Annual Report is due the year following your LLC’s approval.
For example, if your LLC was approved on March 12, 2024, your initial Annual Report would be due by March 31, 2025. Thereafter, Annual Reports are due by March 31 each year.
How Early Can I File My Annual Renewal?
You can file your Annual Report as soon as you receive your Renewal Postcard, which is generally about 60 days before the due date.

Grace Period
Utah allows a 30-day grace period for late Annual Report filings. This means you can submit your report up to 30 days past the due date without incurring a penalty or late fee.
For example, you get a grace period from April 1 to April 30 if your report is due on March 31. By filing within this window, you can keep yourself free from fines and late costs.
Delinquency Period
If you do not file within the Grace Period, you have an additional 30 days to submit your Annual Report, though this will incur a late fee. This phase is known as the Delinquency Period. During this time, your LLC will be marked as "Delinquent" on the Utah Division of Corporations website.
If you file during the Delinquency Period, a $10 late fee will be applied ($28 total). There is no additional penalty, and your LLC will be renewed and remain in good standing.
Failing to file by the end of the Delinquency Period will result in the dissolution of your LLC.
For example, if the due date is March 31, the Delinquency Period spans from May 1 to May 31. If you file between these dates, you will owe a $10 late fee. If you do not file by May 31, your LLC will be dissolved and marked as “Expired”.

Expired LLC
If you do not submit your Annual Report within the 30-day Grace Period or the 30-day Delinquency Period, your LLC will be dissolved and its status will change to "Expired".
An Expired status means that your business's registration is canceled. Operating under an Expired LLC is not permitted. Instead, you will need to reinstate your LLC, which is detailed below.
For example, if your due date was March 31 and you did not file, your LLC will be marked as "Expired" 60 days later, on June 1.
How to Determine if My LLC is Expired?
Your LLC's Principal Business Address, Registered Agent, and one LLC Member will receive an Expiration Notice from the state. The Business Entity Search tool allows you to confirm the status of your LLC as well.
What to Do If My LLC Expires?
If you (and any other LLC Members) decide to close your business, allowing your LLC to Expire is acceptable. There is no penalty for this, and no further action is needed with the Division of Corporations. You should file a final tax return and close the LLC's bank account.
If you wish to continue operating your LLC, you must file for Reinstatement.
Reinstatement
To reinstate your LLC, you will need to pay a $54 fee. Reinstatement can be done online (see Online Business Reinstatement) or by mail (Application for Reinstatement).
Reinstatement can only occur up to two years after the date on which your LLC was designated as "Expired". You will have to start over by creating a new LLC in Utah after this time.

Ensure you have a valid Registered Agent before filing for Reinstatement. Confirm with your friend, family member, or Registered Agent Service that they are still available to serve as your Registered Agent.
How to File the Annual Report in Utah
You can file your Annual Report either online or by mail. However, online filing is recommended for immediate confirmation of receipt and the ability to update information such as your Registered Agent, LLC Members, and business address.
What You Need:
- LLC Entity Number
- Renewal ID Number
- Credit or debit card
To access online filing, you need your LLC's Entity Number and Renewal ID Number, which are found on the Renewal Postcard.
If you do not have the postcard, you can:
- Find your LLC's Entity Number using the Utah Business Entity Search.
- Obtain your Renewal ID Number either by completing the Renewal ID Request Form or by contacting the Utah Secretary of State's office.
Online Filing Instructions:
- Go to the Utah Corporations Division Business Renewal page.
- Log in using your Entity Number and Renewal ID Number.
After logging in, you will see your LLC's details on the next page.
Review and Update Information
Business Entity Details
You can only modify your Principal Business Address.
This must be a physical address (PO Boxes are not allowed). It can be a
- home address
- office address
- mailbox rental address
- or the address of your Registered Agent (if permitted)
Registered Agent Information
Review your current Registered Agent details. If everything is correct, proceed to the next section. To update the address or change the Registered Agent, follow the provided instructions.
NAICS Information – Business Purpose (Optional)
You may enter or edit the NAICS Code, which helps identify your LLC's business activities.
This is optional and used primarily for statistical purposes.
Registered Principals/Officers
The current LLC Members and/or Managers are listed. You can add, edit, or remove Principals as needed.
Ensure there is at least one Principal listed before submission.
Submit the Filing
After reviewing and making any necessary changes, click the "Click Here to Renew" button.
Verification
Confirm that all information is accurate.
Make any corrections if needed, and sign the renewal form by typing your name and clicking Submit Signature.
Payment
Submit the $18 filing fee using a debit or credit card.
Optionally, provide an email address to receive a payment receipt. Confirm and submit the payment information.
Completion
Your Utah Annual Report will be filed online and processed shortly. Before closing the window, download or print a copy of the filed report for your records. The state does not email a copy of the filing.
