Due Date

The Annual Report for your Vermont LLC is due within a three-month "filing window" that begins after the end of your LLC's fiscal year.

The fiscal year of most Vermont limited liability companies (LLCs) runs from January to December. In this scenario, your LLC fiscal year concludes on December 31st. Consequently, each year between January 1 and March 31 is when your Annual Report is due.

In other words, for most Vermont LLCs, the Annual Report needs to be filed between January 1st and March 31st every year.

However, if your accountant or tax advisor has recommended a different fiscal year-end, and you specified this different fiscal year-end when filing your Articles of Organization, your Annual Report will be due according to a different schedule. Refer to the table below for your specific "filing window":

When Should I File My First Annual Report?

The first Annual Report is due between January 1st and March 31st, regardless of the month in which your LLC was founded, for LLCs whose fiscal year ends in December, which is the case for the majority of LLCs in Vermont.

For example:

  • If your LLC was formed on January 1, 2024, you must file your first Annual Report between January 1 and March 31, 2025.
  • If your LLC was established on December 31, 2024, the first Annual Report will also be due between January 1 and March 31, 2025.

Reminder Notice

The Vermont Secretary of State will send a reminder notice to your LLC's Registered Agent. If an email address was provided for your Registered Agent when you filed your Articles of Organization, the reminder will be sent via email. Otherwise, the Reminder will be mailed to the Registered Agent’s address.

If you have engaged a Commercial Registered Agent, they will likely forward the Annual Report reminder to you via email.

Penalty for Late Filing

Failure to file your Annual Report on time will result in the Vermont Secretary of State revoking your LLC's good standing status.

You may still submit your Annual Report within three months after the end of the filing period. For most LLCs (with a fiscal year ending in December), the filing period concludes on March 31st, which means you have until June 30th to file without penalty.

If you do not file by June 30th, the state will classify your LLC as "Terminated", meaning your LLC will no longer be legally allowed to conduct business in Vermont.

To reinstate your LLC, you must file for Reinstatement and pay a $35 fee for each missed Annual Report, plus a $25 penalty for each missed report, totaling $60 for each unfiled year.

Important:

The primary reason Vermont LLCs are shut down by the Secretary of State is for failing to file the Annual Report.

Even if you do not receive reminder emails from the state or your Registered Agent, you are still responsible for filing your Vermont LLC's Annual Report annually.

Therefore, it is strongly advised to set up recurring reminders on your phone and computer and to write a note and place it somewhere visible to ensure you do not miss the deadline.

How to Complete the Vermont LLC Annual Report Online

Get Started

  • Navigate to the Vermont Corporations Division: Client Login page.
  • To log in, enter your username and password. If you do not already have an account, create one now.
  • On your account dashboard, select "VT SEC OF STATE ONLINE SERVICES" from the menu on the left.
  • Then, select the "File Your Annual/Biennial Report" link.

Search for Your Business

Once the name or Business ID of your LLC has been entered in the search area, click "Search Business".

Click "Continue" after selecting your LLC from the results list.

  • Enter your LLC's name or Business ID in the search box and click "Search Business".
  • Select your LLC from the search results and click "Continue".

Business Information

The top section will display your LLC’s name, Business ID, formation year, and filing fee amount.

This information cannot be edited it is for your reference only.

Business Email:

Update or enter your email address as needed. It can be a personal email if preferred.

Designated Office Address

Review or modify your LLC's office address as necessary.

Mailing Address

Verify or adjust your LLC's mailing address as required.

Certification

Enter your first and last name in the "Authorizer Name" field. Input your title ("Member", "Manager", or "Authorized Individual").

Click "Continue" to proceed.

Principal Information

The Members and/or Managers of your LLC are detailed in this section. Managers and/or Members may be added, changed, or removed as necessary.

You can check the box next to any name you want to remove or click "Add Managers or Members" to add more people. To update, click "Save".

Click "Continue" if there are no changes needed.

Note:

The Vermont Secretary of State does not require disclosure of LLC Members or Managers. You may choose to include or exclude this information based on your preference for privacy.

Payment

Choose "Credit Card" as the mode of payment. Enter the billing address linked to your credit or debit card along with its details.

Click "Pay Securely Using Credit Card" to complete your filing.

Review

Review the information you entered in the Annual Report. If any changes are needed, click the "Edit" buttons.

If everything is correct, click the "File Annual Report" button to finalize the submission.

Status

A confirmation message stating that your Vermont LLC's Annual Report has been successfully submitted for processing will be sent to you.

An email confirmation will be sent once your report is processed and approved.

Accessing Your Filed Annual Report

Search for your LLC on the Vermont Corporations Division: Business Search page. Select your LLC from the search results and click on the "Filing History" button.

You can view and download a copy of your most recent Annual Report.
