After establishing a Virginia LLC, an Annual Fee must be paid each year for the duration of the LLC's existence.
The Annual Fee is $50. This fee is required regardless of whether your LLC has generated income or conducted business activities during the year.
What is the Virginia LLC Annual Fee?
All Virginia LLCs are obligated to pay an annual fee. This requirement is irrespective of the LLC’' business income or activities. In other words, this fee still applies even if your LLC remains inactive or generates no revenue.
The Annual Fee of $50 should be paid to the Virginia State Corporation Commission (SCC). Regular payment is essential to maintain your LLC’' good standing.

In Virginia, this fee is formally called the Annual Registration Fee, although it is often simply referred to as the Annual Fee. It's also sometimes mistaken for an Annual Report, but that term is inaccurate.
Only Corporations in Virginia file an Annual Report. LLCs are only required to pay the Annual Registration Fee.
When is the Annual Registration Fee due?
The Annual Registration Fee must be paid by the last day of your LLC's "anniversary month", which is the month when your LLC was approved.
(If you are uncertain about the approval date of your LLC, you can search for your LLC name in the Business Entity Search and check the "Formation Date".)
Your initial Annual Registration Fee payment is due in the year following your LLC's approval.
Example 1: If your LLC was approved on July 15, 2023, your first Annual Registration Fee is due by July 31, 2024. Subsequent payments will also be due by July 31 each year.
Example 2: If your LLC was approved on January 17, 2024, your first Annual Registration Fee is due by January 31, 2025. Future payments will be due by January 31 each year.

How early can I pay the Annual Registration Fee?
The Annual Registration Fee can be paid up to two months before the due date. This is when the SCC calculates the fee.
Will I receive a reminder?
Yes, a "Notice of Assessment of Annual Registration Fee" will be sent to your LLC’s Registered Agent approximately 2-3 months before the payment is due.
The notice is mailed to your Registered Agent.
Is there a penalty for late payment?
If the Annual Registration Fee is not paid on time, a $25 penalty will be added to the $50 fee, totaling $75.
A 3-month grace period is allowed from the original deadline for late payments.
Example: If the Annual Registration Fee is due on January 31, and you miss this deadline, you have until April 30 to pay the total amount of $75.
Failure to make the payment within the grace period results in automatic cancellation of your Virginia LLC. This means the state will terminate your LLC.
