Biennial Report Requirements for Washington DC LLCs
Once you establish a Washington DC LLC, it is essential to file a biennial informational report to maintain compliance and good standing with your LLC.
This report must be submitted to the District of Columbia Department of Licensing and Consumer Protection (DLCP).
In contrast to most states where LLCs are required to submit an annual report (often termed "LLC Annual Reports"), LLCs in Washington DC must file a report every two years. This report is known as the DC LLC Biennial Report.
You might encounter other sources referring to the District of Columbia Biennial Report as an Annual Report, but rest assured, DC only requires a Biennial Report every two years.
DC Biennial Report Penalty
If your DC LLC Biennial Report is submitted late, according to DC Code 29-106.01, a late fee of $100 will be assessed. If you pay this late fee (resulting in a total fee of $400), you can submit your Biennial Report any time before September.
Should you fail to address this obligation beyond September, the DLCP may take administrative action to dissolve (terminate) your LLC.
District of Columbia Biennial Report Fee
The fee for the Biennial Report is $300, and it is required every two years.
Due Date
The DC Biennial Report is due by April 1st every two years.
Your LLC's first Biennial Report is due by April 1st of the year following the registration of your LLC. Subsequent Biennial Reports are due every two years thereafter.
For instance:
- If your LLC was approved on October 10, 2023, the first DC Biennial Report is due by April 1, 2024. Future reports will be due on April 1, 2026, April 1, 2028, and so forth.
- If your LLC was approved on January 10, 2024, the first DC Biennial Report is due by April 1, 2025. Future reports will be due on April 1, 2027, April 1, 2029, and so forth.
To clarify these due dates:
- If your LLC is formed between April and December, your initial DC Biennial Report is due by April 1 of the following year.
- If your LLC is established in January, February, or March, your first DC Biennial Report is not due in April of the same year. Instead, it is due the following April, a full year later.
Reminders
The DLCP sends an email reminder to your LLC's DC Registered Agent approximately in February of the year when your LLC needs to file a Biennial Report.
The DLCP does not provide mail reminders. If your Registered Agent, whether you, a friend, a family member, or a company, does not have an email address listed, the DLCP cannot send a reminder.
What if I don't receive an email reminder?
Even if you do not get a reminder from the DLCP, you still must file your DC LLC Biennial Report on time every two years. It is advisable to set up recurring reminders in your calendar, phone, or computer.

Primary Reason for LLC Dissolution
The primary reason DC LLCs are dissolved by the DLCP is for failing to file their Biennial Report.
Biennial Report Filing Methods & Processing Times
You can file your LLC Biennial Report either online or by mail. The fee for both methods is $300.
- Online filings are processed and approved immediately.
- Mail filings take approximately 15 business days to process and approve.
We recommend online filing due to its ease and faster processing time.
The DLCP also prefers online submissions over mail filings for Biennial Reports. In-person submissions are not accepted.

If you prefer to file by mail, similar steps apply, but you will need to send a completed Form BRA-25 to the DLCP along with original signatures from all LLC Members.

To begin, create an Access DC login, and then set up a CorpOnline account.
If you already have these accounts, simply login to CorpOnline.
Get Started
Click on "File a Current Year Biennial Report".
The next page provides instructions and tips on the information you will need to complete the Biennial Report filing. After reviewing the checklist, scroll to the bottom and click "Continue".
Select Your Organization
Search for your LLC using its name or File Number, then select your LLC from the list.
Report Year
Enter the year for which you are filing the Biennial Report.
Business Address
Review the current business address of your LLC. Update it if necessary.
This address can be your home address, office address, a friend's or family member's address, or a Commercial Registered Agent's address.
The address can be within the District of Columbia or any other state, and even outside of the United States if applicable.
Registered Agent
Review your LLC's Registered Agent information. Update it if your Registered Agent has changed.

Remember, the DLCP sends Biennial Report reminders via email. Ensure your Registered Agent’s email address is current.
In DC, you can choose yourself, a friend, a family member, or a Registered Agent Service as your LLC's Registered Agent.
Organization Purpose
Purpose Type:
Select the industry your LLC operates in from the drop-down menu. If not listed, choose "Other".
Description:
Provide a brief description or a sentence or two about your LLC's business activities. The DLCP requires a specific purpose and does not accept a general "any lawful activity" statement.

Beneficial Owners
Beneficial Owners are LLC Members, sometimes referred to as Governors in DC.

An LLC Manager who does not own a part of the LLC is not considered a Beneficial Owner.
If you are submitting the report for your own LLC, enter your last name, first name, and address. Check the "Executing Officer" box to indicate you are signing the report, and click "Add Governor".
You can keep, remove, or add Beneficial Owner information as needed.
Beneficial Owner Document Upload
Most people skip this section. However, if there are many Beneficial Owners, you may upload a list of all Beneficial Owners if there is insufficient space in the previous section.
Validation
Review the information entered in your LLC's Biennial Report. Look for any errors or typos.
If changes are needed, click "Previous". If everything is accurate, click "Continue" to proceed.
Payment
Select "Credit Card" from the drop-down menu. Enter your name, billing address, and phone number. Then provide your credit card details, click "Next", and complete your payment of $300 to the DLCP.

You will now need to wait for your report to be processed and the confirmation to be uploaded to your DLCP CorpOnline account.
DC LLC Biennial Report Approval
If you file your DC LLC Biennial Report online, it is approved instantly.
The DLCP will:
- Send you an email confirmation.
- Upload a filed copy of your Biennial Report to your CorpOnline dashboard.
We advise keeping a copy of your filed Biennial Reports in your LLC's records.
Remember, another Biennial Report will be due in two years by April 1st. Set a calendar reminder to ensure timely filing.

In 2022, the District of Columbia government restructured its departments. The Department of Licensing and Consumer Protection (DLCP) now handles business filings, taking over from the Department of Consumer and Regulatory Affairs (DCRA). The DCRA no longer exists, so all inquiries about the Biennial Report should be directed to the DLCP.
