How Early Can I File My Annual Report?
You can file your Annual Report anytime between January 1 and June 30.
For instance, if your LLC was approved on July 12, 2024, you may file your Annual Report anytime from January 1 to June 30 each year starting in 2025.
What if I Miss the Annual Report Filing?
If you fail to file your Annual Report, you will incur a $50 late fee for each year the report remains unfiled. This fee is in addition to the regular $25 filing fee.
Failure to file Annual Reports for four consecutive years may lead to the cancellation of your LLC’s registration, a process known as "administrative dissolution".
If your LLC is administratively dissolved, you must contact the state and file the necessary paperwork to reinstate your LLC.

You can reinstate your LLC within two years after dissolution. However, if another entity has taken your LLC's name during this period, you will need to select a new name. If you do not reinstate your LLC within the two-year window, you will need to start a new LLC.

Enter your LLC's name in the Name Search box and click Search.
Choose your business name from the list.
Secretary of State Annual Filing Status
This page indicates that the filing fee is $25 and that updates will be processed after your Annual Report is approved.
Click Continue.

Review the existing information and click Continue.
Annual Filing Summary
This page confirms the accuracy of the information in your Annual Report.
Enter your first and last name.
Select your role from the drop-down menu:
- If your LLC is Manager-managed, select "Manager".
- If your LLC is Member-managed, select "Member".
Enter your phone number and click Checkout.
Select Payment
Choose your payment method for the Annual Report fee and review the charges. Click Checkout.

Select the business purpose that most closely matches your LLC's activities. If none are exact, choose the closest option.
