Once you have set up your LLC in Wyoming, you are required to file an Annual Report each year. This filing is crucial to ensure your LLC remains compliant and in good standing with the Secretary of State.

Filing Fee (for most Wyoming LLCs)

The standard fee for the Annual Report is $60.

This fee applies to the majority of LLCs in Wyoming that have assets valued below $250,000 within the state.

Filing Fee (for LLCs with assets exceeding $250k in Wyoming)

If your LLC holds assets in Wyoming valued over $250,000, the Annual Report fee is calculated based on the total asset value. The rate is $0.0002 per dollar of asset value.

For example, if your LLC has assets worth $300,000 in Wyoming, the fee would be $60 (300,000 x 0.0002). For assets valued at $400,000, the fee would be $80 (400,000 x 0.0002), and so forth.

Note:

$0.0002 is equivalent to two one-hundredths of a penny.

The good news is that Wyoming's online filing system includes a calculator to determine your exact fee. You only need to enter the asset value, and it will compute the fee for you.

How to File an LLC Annual Report in Wyoming

You have the option to file your Annual Report online or by mail.

To start, complete the Annual Report form online. Then you can:

  • Submit the form electronically and pay online, or
  • Print the form and mail it with a check or money order

Required Mailing for Fees Over $500

If your Annual Report fee exceeds $500 (indicating the LLC has assets over $2,500,000 in Wyoming), online filing is not available. The website will prompt you to print and mail your form. Further details will be provided later.

  • Online filings are processed and approved immediately.
  • Mail filings are processed and approved within 3-5 business days.

Due Date for Wyoming LLC Annual Report

The Annual Report is due annually before the first day of the month in which your LLC was formed.

For instance, if your LLC was formed on June 10th, the Annual Report must be filed before June 1st each year.

The first report is due the year after your LLC's formation.

For example, if your LLC was established on June 10th, 2024, the first Annual Report is due before June 1st, 2025, and subsequent reports are due before June 1st each year.

Early Filing for Wyoming LLC Annual Report:

You may file up to one year in advance.

For example, you can submit and pay for the 2025 Annual Report in 2024.

The online system will track paid years and manage early filings accordingly.

The state sends three reminders 60 days, 30 days, and 10 days before the due date.

Penalty for Late Annual Report Filings

If the Annual Report is not filed within 60 days past the due date, your LLC may be dissolved.

Important (Set a Reminder)

Failure to file the Annual Report is a leading cause of LLC dissolution by the Wyoming Secretary of State.

Even without email reminders, you are responsible for filing the report. Set reminders on your devices and in visible places to ensure timely filing.

Steps to Complete the Wyoming LLC Annual Report Online

Warning: You have a 30-minute time limit to complete the online filing. If you do not finish within this time frame, your session will expire, and you will need to restart.

Get Started

  • Visiting Wyoming's Online Annual Report page.
  • Clicking the Annual Report logo or the "File or Print Your Annual Report Now" red link.
  • Entering your LLC's Filing ID in the search box and clicking "Next". If you do not know your Filing ID, you can find it by searching your LLC's name in the Wyoming Business Center.
  • Verifying your LLC's details and clicking "Next".

MAILING ADDRESS

Review your LLC's Mailing Address and update it if necessary. Click "Next" to continue if no changes are needed.

The Secretary of State usually communicates by email. However, if any mail is required, it will be sent to the address you provide. This can be any address, not necessarily in Wyoming.

Updating Registered Agent

To change your LLC's Registered Agent, file a Statement of Change by Business Entity by mail, as this cannot be done via the Annual Report.

PRINCIPAL ADDRESS

Check your LLC's Principal Office Address and make any necessary updates. Click "Next" when finished.

Principal Office Address Details

This is your LLC's main location, which can be any address, whether it is an office, home, or another address. It does not have to be in Wyoming, though it can be.

Email Address

Update the email address for Annual Report reminders. If adding multiple addresses, separate them with semicolons For example: "[email protected]; [email protected]; [email protected]"

FILING FEES If LLC Has No Assets in Wyoming

If all assets are located outside Wyoming, leave all amounts at "0" and click "Next".

If LLC Has Assets in Wyoming

Enter the total value of your LLC's Wyoming assets and click "Calculate". The Annual Report fee will be displayed based on this value.

For Fees Exceeding $500

If the fee is over $500, you must file by mail. Follow the mail filing instructions provided.

Review all entered information for accuracy. Make any necessary corrections by clicking “Previous” or using the section links at the top.

Choose Filing Method

Decide whether to file online or by mail. For online submissions, click “Continue” and follow the instructions. For mail filings, click “Print” and follow the provided mailing instructions.

Once submitted online, your Annual Report will be processed and approved immediately. You can download and save your Filing Receipt right away.

To obtain a copy of your filed Annual Report, search for your LLC's name, select it, and click "History" at the bottom. Download the first page by clicking the PDF icon.
